| School attached enterprise is a newly born thing, which plays a significant role in accelerating the transaction of achievement of science and technology, increasing research budget source, providing practice place etc, has become a newly born thing since recent decades. However, the disadvantages of school attached enterprise such as the relationship between asset and right is not clear, the management system is out of regulation, operational capital couldn't flow freely and lack of entry and exist system, also obstacles its further development. The long-term view of the school attached enterprise is to become separate legal entity, and to work and develop under the regulation of market rules. The key of reform sits one the company management structure.Based on analyzing the connotation connection relationship between company management and benefits-relation, this paper states the solution of the company management difficulties by emphasizing the role of the main benefits-related party. And take the TianYi which attaches to Hunan Railway Professional Technology College as a case, this paper analyses the enterprise development, the present situation of the main benefits-related parties' value-oriented object, designs TianYi enterprises asset and right reforming model and company management model which fits for TianYi present situation. According to the fact that as a college-attached enterprise, TianYi enjoys the national special revenue from tax policy, the paper also states the motivation mechanism that puts forward to imitating ownership of a share right, the yearly salary system assessing management target. And the paper leads to a conclusion that as for middle sized and little school attached enterprise company management model, considering benefits-related party's value oriented target is the base of company management design; long term share motivation is the operating company management's security. The uncertainty of outside circumstance will lead to the uncertainty of company management model.State owned enterprise takes benefit related party's value oriented company management will also rely one the evolution system of outside law, credit and social responsibility.
