Formation　of　companies　is　the　fundamental　of　the　firm　existence,　having　played　a　very　basic　party　in　companies'　acts.　In　fact,　much　more　attention　is　put　on　the　legal　problems　in　the　function　of　companies　but　scholars　rarely　study　it　with　actual　rules.　However,　the　rules　and　the　systems　established　in　the　course　of　forming　company　determine　on　the　future　company　which　is　well-balanced　run　and　the　dream　is　realized.　Thus　the　systems　of　formation　of　companies　decide　the　keynote　of　the　corporate　legal　systems　so　that　the　study　on　it　should　be　put　in　the　whole　corporate　law.　　The　paper　has　five　parts　containing　the　foreword　and　four　chapters.　The　first　chapter　discusses　the　basic　theories　of　forming　companies.　With　definition　of　forming　companies　the　characters　in　the　course　of　forming　companies　are　differentiated.　On　having　reviewed　the　history　of　forming　company　principles　the　paper　points　out　the　amending　way　of　our　corporate　law.　Then,　the　paper　discusses　the　manners　and　the　terms　of　forming　companies.　　The　second　chapter　discusses　the　founder-members　of　the　company.　Including　the　qualification,　legal　status　and　responsibility　on　the　founder-members　of　the　company　should　be　given　much　more　attention.　The　third　chapter　discusses　company　capital　system　in　a　company.　With　the　directions　of　practice　the　paper　analyses　the　pattern　of　capital　system,　the　least　limitation　of　capital　and　the　way　of　capital　putting　in　the　company.　　　The　fourth　chapter　discusses　the　constitution　of　company.　On　the　basic　of　cases,　the　paper　analyses　the　meaning,　content　and　efficacy　about　the　constitution　of　company.　Then　it　points　the　way　of　our　corporate　law　amendment.
