The continuous development of the economic globalization, net-lization and financial liberation have macroscopicaliy resulted in the appearance of the mixed operation in the financial fields. In the meantime, as the microcosmic financial entities, the financial enterprises are also making their way to the integrated enterprises. As far as China's situation is concerned, the influence of the deepening of reform in the financial system and the challenge brought by some exogenous factors such as the financial globalization, have made the issue of practice the mixed operation the popular topics again. Base on this background, especially under the hypothesis that there is no ultimately changes in the construction of the relative law, or in the eternal controlling mechanism and the capability of the financial supervision and management, as the operational enterprise with the concentrated shares and the dispersed operation, the financial holding company has the advantages such as the flexibility in operation, the fitness for both mixed and separated operation and the advantage for cooperation effect, risk dispersing and multi-services. All of these make the financial holding company the transitional model between the transition of the dispersed operation period to the mixed operation period. So it has very important practical meaning to systematically analyze the organization and management models of the financial holding company.This paper, first conceptionally illustrates the financial holding company in the connotation and conception, the development and the characteristic. And it emphasizes on introducing its organization and management models. On base of that, it classifies the financial holding company due to its integrative degree, then compares the Germany-All-Functional-Bank and theAmerican-Financial-Holding-Company, which are most representative, in their organization and management models. And the paper use some examples to illustrate it. This has constituted the core context of the organization and management models of the financial holding company. After explaining the advantage and disadvantage of the organization and management models of thefinancial holding company, the paper, combined with our economic situation, analyses the necessity and the feasibility of building up the financial holding company in China. Then it introduces the present situation and the limitation of China's financial holding company, reaches the strategical choice of the financial holding company's organization models and management models with the suggestion of the step to realize it. This part is help with some pictures and diagrams.Aimed to keep pace with the globalization and the mixed operation, and to solve the problem of China's financial reform after entering WTO, this paper foots on the research of the organization and management models of the financial holding company, and emphases on the influence, given by the different models, to the operational efficiency and risk management of different financial holding companies. And it also combined with the present situation of our financial industry, the system of our supervision and management, the framework of our law. It targets on the present financial system and enterprise, analyses the strategical choice of the organization and management models of the financial holding company.
