By literature consultation, empirical study and academic analyses, the thesis aimed to analyze the schools invested by the civilian capital on the background of the market-economy, as well as the emergence causes and inevitability, present development of these kinds of the schools. On the base of the investment theory and property rights-governance theory, the thesis analyzes the property rights structure and governance patterns of the civilian-invested schools, and finally proposes the some related suggestions.With the implementary forms diversification of the public-ownership on the primary stage of the socialism in China, the running patterns of the civilian schools are becoming various. Therefore, the schools invested by the civilian capital are emerging, as the times require more educational supply.Firstly, the thesis recounts the emergence and development of the civilian-invested schools, and explains its patterns of the property rights-governance in general. Based on that, the thesis applies to the theory about the profit-pursuit of the capital and the public-welfare of the education; analyzes systematically the nature of these kinds of schools and proposes that this investment is a market-commonweal action, and regards these schools as a special structure of the enterprise.Then, through the surveys on the spot, the thesis gives two cases of schools in which it discourses at great length on the issues of the property rights, top decision-making framework and the interior governance in the schools in the view of emergence, development, organizational structure and the relationship between the investors and the schools. In the following, by taking the examples of USA, Japan and some developing countries, the thesis introduces in details the present conditions about the legal environment, development scale, organizational structure, decision-making mechanism and property rights of the profit schools in the foreign countries, which provides the valuable references for the future development of the civilian-invested schools in China.Afterwards, by analyzing the investing subjects, the thesis makes a comparison among the council schools, nonprofit schools and profit schools in the view of property rights structure, governance patterns and operating mechanisms. Thereby this chapter confirms the view of the thesis.According to the above analysis, in the view of exterior environment and interior governance the thesis finally proposed as follows. Firstly, distinguish the profit and nonprofit schools in the legislation, and legalize the civilian-invested schools. Secondly, take a strict registration procedure of the profit and nonprofit schools, and allow the former to register in terms of the enterprises. Thirdly, set the supervision institution for the profit schools. Fourthly, build the double governance mechanism of assets operating and teaching management. Fifthly, establish the intermediary organizations in the civilian-invested schools to perform the supervision and information function.
