Research On Corporate Governance From The Perspective Of Capital Structure

The scholars of our country have paid the abundant concern about the corporate governance since it's introduced into our country. They combine the SOE reform of our country, carry on deep research to it from the theory and practice, and make the rich achievement. But according to actual effect, a great deal of questions existing in our country's corporate governance does not get substantive improvement yet. This proves that it may be unable to find the answer to the solution to these problems of corporate governance itself. Because the capital structure is the foundation of the corporate governance, the author proceeds from the capital structure, along the route of the financing way- the structure of the capital- corporate governance, probes the question of corporate governance. On one hand, this helps the settlement of the realistic problem in our country's corporate governance. On the other hand, this helps that we strengthen the understanding of the essential of the corporate governance further.At first, the thesis describes the developing history of the capital structure theory. Then it expounds the fact and the influence of the capital structure on corporate governance in the United States and Japan's companies and analyses the new changes of corporate governance in theirs, does not think that a corporate governance mode in common use is suitable for all countries. In the end, the author explains the historical origin cause of formation of enterprise's capital structure current situation of our country in terms of development of the financing system of our country, analyses the influence of enterprises' capital structure on the corporate governance in our country then, draws the conclusion that we must optimize the capital structure if we want to improve the current situation of our country's corporate governance, puts forward basic principle, concrete countermeasure and suggestion of optimizing the capital structure.
