| Chinese reform on state-owned enterprises(SOEs) not only is an incremental and constantly exploring process, but also is an important and difficult point in the reform of China's economic system. However along with the further deepening reform and the development of SOEs,there are difference about the governance structure in theory,and there are some problems in practice blocking up their development. So the governance structure in SOEs need be perfect.Firstly,this article reviews studies on domestic and international corporate governance , introduces comprehensively and systematically the intension of governance structure and its common theories. In succession , based on the positive analysis of development of SOEs,this thesis finds causes for emergence and development of SOEs. Thereby,this thesis reveals the necessity of the reform of governance structure in SOEs,and has appraised the progressive reform course about governance structure.After that,this thesis analyses deeply main existing problems,such as the owner lacks,insider control under administrative intervention,equity structure and their respective causes. According to the retrainment from China's present outside market environment,the condition that stakeholder governance should be implemented has not possessed far yet.This article proposes the basical path to the reform of governance structure of SOEs,and it is worthwhile stated that we postulate an optimizing pathway for interim of SOEs' governance model from administratively-oriented governance of enterprise to economically-oriented corporate governance ,and then points out that we can reinforce internal governance from angles of improving the reform of property right system,and standarding stockholder board,director board and supervisor board while accelerating outside market environment reform. |
