Abstract/Summary:
There has long been debated about the issue of corporate governance of state-owned commercial banks. At present, the four state-owned commercial banks have already completed their public offerings. In view of the special character of commercial banks, the external governance mechanism functions very limitedly in respect of corporate governance of state-owned commercial banks. Thus, the thesis chooses internal corporate governance as the breaking point and key issue by theoretical analysis, inductive analysis ,empirical analysis and comparative analysis.Besides the introduction and the conclusion, the thesis is divided into 3 chapters.The introduction mainly deals with the background in choosing the thesis'subject, which is the internal corporate governance of state-owned commercial banks, and reveals the significance and aim of this research. The author briefly illustrates the content of the thesis, as well as the writing method.Chapter one analyzes the meaning of corporate governance and the special character of it in state-owned commercial banks. Firstly, it divides the corporate governance into 2 levels, internal and external. Then, based on the special character of commercial banks, the author illustrates the limited function of the external governance mechanism , emphasizes the improvement of internal governance mechanism. Finally, on the basis of the analysis of state-owned commercial banks'special equity structure, the author analyzes the special corporate governance from three aspects: governance of shareholder, internal check-and-balance system, incentive and restriction mechanisms.Chapter two is the research on the current situation and problems of internal corporate governance of state-owned commercial banks. Firstly, it analyzes the situation of state-owned commercial banks'internal corporate governance, then discusses the problems existing in it ,which is the unreasonable equity structure, the administrative intervention of shareholder, insider-control problem resulting from the lack of internal check-and-balance system, the imperfect incentive and restriction mechanisms.Chapter three is the improvement of internal corporate governance of state-owned commercial banks. Following the idea of chapter two,this part based on the international experiences of state-owned commercial banks equity structure and corporate governance , puts forward suggestions for state-owned commercial banks from four mentioned–above aspects.
