Research On Relation Between Stock Company Based On Key Business And Remainder Enterprise

The development of economic integration of the worldi especially WTO entry, bring unprecedented opportunity and challenge for the enterprise of our country. In the face of increasingly fierce international competition environment, the state-owned enterprise of our country especially large-scale, super-huge state-owned enterprise which play an important role in national economy have faced the unprecedented challenge. In order to change the situation such as " big and the whole", "small and comprehensive", " indistinction between the functions of the government and those of enterprises", "Lacking international competitiveness" which have been formed under planned economic system, the petroleum industry takes the lead in carrying on the reform as the pilot project trade. After the Chinese petroleum recombination, every companof it reforms further. Based on the key business, setting up the stock company according to the company law of our country. Other business as remainder enterprise stayed in group company.With fully investigation and research, this paper analyzed some problems based on the background of pipeline bureau of Chinese petroleum gas and pipeline branch company of Chinese petroleum gas stock company. The main content include: expounded the stock company based on key business and remainder enterprise with the real example ; Sumed up the question between listed company and the remainder enterprise; Analysed historical reason and realistic reason why the question exists with the method reasoning from logic under guiding of the analytical method of the system; In the face of the enterprises of distinct Chinese characteristics, in order to guarantee success of the reform , improve the competitive power of the enterprise, and also guarantee the stability of the society, on the basis of fully consider each side interests, such as country, individuals of society, investment subject, worker,etc, propose that guides the related trade between the two with the thought of the strategic alliance; Point out that the stock company, the remainder enterprise and group company should make ideology from different angles; Design the structure function model of the alliance with IDEF0 method atlast.The theory method and model frame adopted in this paper are not only suitable for the petrochina, but also have guide reference for the following reforms of large-scale, super-huge state-owned enterprises such as coal, water conservancy, electric powers, railways, civil aviations,etc.
