Currently the salary structure of executive officer in westerns enterprise has been greatly changed, and ESOP (executive stock option plans) which strongly stimulates executive has been widely used in the western countries. Recently, as the innovation of stimulus system, ESOP has been silently imported by some China's enterprises, but a lot of problems must be solved if it plays an important role in China's enterprises. In this dissertation, by using opportunity cost of economics and the theory of property, transaction cost , the theory of principal-agent, the theory of stimulation of management. Functions that reform the stimulation mechanism of China's enterprises are researched. By studying on the situation of the present models of ESOP in China's listed company, the character, limitation of these models, and obstacles that China's listed company has met in process of ESOP practicing .Based on the actual conditions China's enterprises, the methods is given to solve concerned problems, and the main stimulation factors of ESOP in China's listed company is designed ,meanwhile in 0rder to put ESOP into practice, some relevant suggestions are drawn up. |
