To transform mode of economic growth to maintain steady and sustainable development is central Government's policies at current period. This required to building a new industry road which is resource-efficient and environment-friendly. This strategic goal is not only an inherent need to address contradictions accumulating during China's reform and opening up30years, but also respond to objective requirements of the changing global economy after financial crisis. As a window of China's opening up and economic center, Shanghai is the first areas facing growth bottleneck and problems about economic transformation. So the study of Shanghai's economic restructuring plays a very important role in China's future mode of economic growth.This paper attempt to address three core issues around economic transformation of Shanghai:First, Why should we adjust the industrial structure to change growth mode; Second, Which factors influent industrial restructuring of Shanghai? Which one should be adjust? And third is how to adjust the industrial structure?For these three issues surrounding the article, in accordance with "Status quo analysis-Cause Analysis-Target selecting-Factors-Suggestions" research ideas, this article focus on following aspects:(1) What are the main issues in the industrial structure of existence?(2) How to determine the direction and adaptation goals on Shanghai industrial restructure?(3) Which factors influent industrial restructuring of Shanghai?(4) How to adjust Shanghai's industrial structure?The major problems of Shanghai's industrial structure are the lack of technical progress. In this paper, a single structure dynamic Shift-Share Analysis model has been created, and the model applied to measure the effect of structural change on regional economic growth in different time periods. The study illustrates that the impact of structural effect on Shanghai's economic growth is decreasing during the thirty four years since China's economic reform in1978, and gradually exceeded by the impact of technical advance. On this basis, this paper put forward to analyze the provincial Total factor Productivity, Our analysis indicate that the economic growth has been increasing owing to enlarged Investment and the increasing of total factor productivity growth, particularly the increasing of Investment. These means each industry would loss it's potential power to make more progress, and only be increased by extensive growth of factor inputs. So industry restructure play a key role in transform mode of economic growth, and to get more efficient is the core task, which can be summarized as industrial structure rationalization, upgrading and sophistication.Through such theoretical analysis, logical reasoning and empirical research, we get such conclusion:(1) The current industry structure in Shanghai is reasonable according to international standard industrial structure. The tertiary industry has becoming the main driver of economic growth gone beyond the second industry.(2) The main problem of Shanghai industrial structure is locked in the lower-level in international industrial train, while there has deviation between industry structure, employment structure and contribution to economic growth.(3) The main objective of Shanghai industrial restructuring is occupying technology advantage and industry opportunities in the world's fifth long development cycle.(4) The emerging strategic industries and high-tec industries are the target which should be developed, which need to strengthen independent research and introduce foreign advanced technology into our country.
