In the age with surging market and the increasing fierce competition,merger and acquisition(M&A)is an effective way to seek their own development and to expand market share,which also is a form of strategic cooperation to enhance the market competitiveness,and stable operation after its merger is an important basis for whether M&A work.However,from the current situation of M&A,not all mergers and acquisitions are smooth,and the high rate of instability in the development of the enterprise has drawn many concerns in the academic community after M&A.With the advent of the knowledge economy,knowledge has become the most important strategic resources of enterprises,and tacit knowledge difficultly detected and encoded have the top priority in the knowledge system of M&A.Therefore,the following several problems need to be solved: how to promote the stable operation of enterprises and after M&A and improve the M&A performance;how to explore the influencing factors of tacit knowledge transfer after M&A;how to control the transfer path of tacit knowledge after M&A and design the implementation mechanism.They are important problems for our acquisition managers and scholars to be solved.Based on above,this paper takes the tacit knowledge transfer of M&A as the research object,takes the connotation of tacit knowledge as the breakthrough point,and takes M&A enterprise's tacit knowledge transfer as base,and takes enhancing M&A performance as the main line,and analyzes the relationship between tacit knowledge transfer and M&A performance,and explore the path to achieve M&A performance,and propose solutions.Firstly,the theoretical foundation of M&A and tacit knowledge transfer is explored.On the one hand,the definition of tacit knowledge is elaborated through literature review.The feature of tacit knowledge is discribed from two aspect of tacit knowledge and the difference between explicit knowledge and tacit knowledge.On the other hand,this paper defines the M&A performance,and expounds the realization conditions of M&A performance based on tacit knowledge transfer.Based on the integration and innovation of tacit knowledge,this paper analyzes the relationship between tacit knowledge and the M&A performance.Secondly,the paper discusses the factors that influence the performance of M&A performance based on tacit knowledge transfer.Through the process of tacit knowledgetransfer and WSR system methodology,this paper puts forward the physical factors,rational factors and human factors that affect the transfer of tacit knowledge.According to the three factors,the paper gives the specific content,and further divides the three factors,and explains the relationship between the factors and the M&A performance in detail.On this basis,the paper reveals the principles and rules of the stable and orderly operation of the M&A enterprises under the influence of various factors of tacit knowledge transfer.Thirdly,the thesis analyzes the path of the tacit knowledge transfer in M&A enterprises.Based on the research hypotheses and theoretical analysis,this paper proposes the theoretical framework of the achievement path of M&A performance using tacit knowledge transfer.The relationship between tacit knowledge transfer and M&A performance is analyzed by means of system mechanics modeling,and the paper has tested the implementation path.On this basis,this paper explores eight ways to influence the transfer of tacit knowledge in M&A enterprises.Through the path and the relationship between M&A performance,promote the performance of M&A.Fourthly,the paper studies the relationship between tacit knowledge and M&A performance.This paper expounds the function mechanism of improving M&A performance from the perspective of tacit knowledge transfer.Through the questionnaire investigation,the structural equation model was used to analyze the constructed mechanism of action.On this basis,through the five dimensions of tacit knowledge,this paper analyzes the positive effects of tacit knowledge integration and tacit knowledge innovation on the performance of M&A.And the paper reveals the principle of the improving M&A performance under the action of the connotation of tacit knowledge.Finally,in order to promote and guarantee the stable improvement of M&A performance,the paper designs and proposes strategies to enhance M&A performance after systematically analyzing the mechanism and path of the M&A performance.On the one hand,improve the organizational environment and individual environment of M&A enterprises;On the other hand,establish the mechanism of knowledge transfer in M&A,which is embodied in the sharing and complementary mechanisms of tacit knowledge transfer after the establishment of M&A.Through the study of this paper,the concept and characteristics of tacit knowledge transfer after the merger and acquisition of enterprises are clarified;This paper analyzes themechanism of influencing M&A performance from the influencing factors of the tacit knowledge transfer in M&A enterprises;From the path of tacit knowledge transfer,this paper explores the realization path of M&A performance,and reveals the principle of improving the M&A performance by means of modeling system dynamics;From the empirical study of tacit knowledge and M&A performance,this paper demonstrates the positive effect of tacit knowledge integration and innovation on the performance of merger and acquisition;This paper puts forward the strategies to enhance the performance of M&A,and provides decision support for the stable development of M&A.
