On the basis of Marx’s economic theory, enterprise contract theory and stakeholder theory, this dissertation studies and explores the process of the produce, development and evolution of corporate governance under the influence of corporate social responsibility from theory and practice respectively. The dissertation considers that corporate governance includes two parts of internal and external governance, and that corporate social responsibility includes three different levels as rigid social responsibility, constrained social responsibility and voluntary social responsibility constraints. The internal governance structure is in response to the requirements of enterprise’s rigid social responsibility, and the external corporate governance ensures the fulfillment of constrained social responsibility and voluntary social responsibility. With the development of social practice, corporate social responsibility will transform from "voluntary social responsibility to constrained social responsibility to rigid social responsibility", and corporate governance will change from the external governance to internal governance under the influence of the transformation of corporate social responsibility.In theory, this dissertation firstly defines the concept of corporate governance and corporate social responsibility. And on this basis, it cards other scholars’researches and results on the interactive relationship between corporate governance and corporate social responsibility, analyses the points of view that can be used for reference and discusses the shortcomings of the existing researches. Then, it introduces Zenisek’s four-stage social responsibility model, studies the characteristics of corporate governance adapted to different social responsibility stage, analyses the transformation of corporate governance in three different levels of social responsibility predicament by use of economic game theory and summarizes the rule of change of corporate governance under the influence of corporate social responsibility.In practice, developed countries have gone through a history of more than100years in corporate governance, accumulated rich experience in the response of corporate governance to corporate social responsibility and left many profound lessons. This dissertation firstly reviews the changes and development path of corporate governance under the influence of typical social events. Then it takes American’s "market-oriented" management model and German’s "stakeholders-leading" management model as the objects to explore how the two models adapt to the requirements of corporate social responsibility with different national and cultural values, summarizes its successful experience, analyses the problems and provides support of practical experience for the improvement of corporate governance.Finally, the dissertation reviews the process of the establishment of modern enterprise system in China, analyses the experience and lessons in the process of the construction of corporate governance system in China. And it studies the quantitative change relations of corporate governance variables and corporate social responsibility by using the regression analysis model in econometrics and finally proposes the strategy to perfect corporate governance under the influence of rigid social responsibility, constrained social responsibility and voluntary social responsibility.
