| As the Chinese economy and capital markets rapidly develop,along with various policy incentives,more and more enterprises are seeking to apply for listing and financing on domestic stock markets.At the same time,the applicable standards and procedures for listing securities in China have also changed.Since the launch of the Science and Technology Innovation Board in 2019 and the full implementation of the registration system on the main boards of the Shanghai and Shenzhen Stock Exchanges in 2023,China’s securities issuance system has shifted from an approvalbased system to a registration-based system,marking a significant reform.However,due to the ongoing transition period of the issuance system and the complexity of listing rules,the environment has increased the requirements for companies applying for listing,necessitating a comprehensive consideration of various aspects of daily operations.If a company cannot identify and control risks at the overall corporate level,it may fail in its listing application,affecting its financing and daily operations.This paper takes Company H,which plans to conduct an IPO on the Chi Next,as the research subject.Starting from various elements of comprehensive risk management,the paper uses case analysis,literature analysis,and other methods to study the company,identifying the risks to the listing of the enterprise in its daily operation,and assess these risks by analyzing typical rejected cases on the Chi Next and conducting statistical analysis of Chi Next market IPO-related financial data.This helps to summarize the core concerns of the market and regulatory authorities and identify key risks that significantly impact the company’s listing.Based on the analysis and evaluation of relevant cases and data,the main risks faced by Company H’s IPO include continuous decline in revenue and profits,potential short-term debt defaults,heavy reliance on government subsidies for operational results,and poor quality of information disclosure.Subsequently,the paper proposes several risk management improvement policies for Company H based on the analysis of the key risks mentioned above,and countermeasures to improve the overall risk management of the company,providing insights and references for other companies planning to conduct an IPO on the Chi Next in terms of comprehensive risk management.This will help businesses successfully achieve listing and financing. |
