With the deepening development of global economic integration over time,a series of favorable policies have brought good opportunities and conditions for overseas mergers and acquisitions of enterprises under the factors of our country’s "going out" and the implementation of the "the Belt and Road".The main path of development.Therefore,building an objective and comprehensive M&A performance evaluation system can evaluate the impact of M&A on the company and provide reference and suggestions for other companies.This paper takes the merger and acquisition of BSG in South America as an example to conduct in-depth research on the performance of enterprise merger and acquisition.The first part of the article introduces the background of the research,expounds the significance of taking the case of merger and acquisition of BS Group as the research object and the innovation of this article,summarizes and analyzes the research results of domestic and foreign scholars,and then explains the theoretical basis used in this article.The second part of the article analyzes the two sides of the case,the background and environment of the merger and acquisition,and the motivation of the implementation of enterprise merger and acquisition.The third part of the article combs the process of M&A implementation according to time.The fourth part of the article mainly evaluates the financial performance of enterprise mergers and acquisitions,analyzes the performance from the perspectives of profitability,solvency,operating ability,cash flow and development ability,discusses the impact of financial integration performance on the development strategy of BS Group,and finally discusses the cause analysis of performance based on the evaluation results,points out the existing problems,and puts forward optimization suggestions.This paper studies the performance of M&A from the perspective of BS Group.Take the performance enterprise M&A system of BS Group as a representative,and then explore effective solutions,build a performance enterprise M&A system that adapts to the characteristics of BS Group,conduct in-depth analysis of its own situation and look forward to the development path of BS Group in the future,hoping that through the rectification and elimination of the existing problems of BS Group and BSG company,it can provide more reference for more similar enterprises in the analysis of M&A problems,such as paying more attention on Financial Integration and taking more notice to costs control,enterprise valuation,risks control,stakeholders’ interests and cultures difference,etc.when doing cross border M&A so as to realize the strategic upgrading of the enterprise and enhance core competitiveness.
