Research On The Impact Of Independent Directors With Technical Background On Corporate Ambidextrous Innovation

High-tech enterprises are the strong engine to promote the high quality development of our economy,and their innovative development is highly concerned by the government.How to optimize the internal governance structure of the company,enhance the innovation ability of the enterprise and enable the sustainable development of high-tech enterprises has become a key issue in the field of corporate governance.The background characteristics of directors will directly affect the innovation decision and implementation of enterprises.At this time,independent directors,relying on their professional knowledge and rich experience,can express independent and objective opinions and provide consultation and guidance to the enterprise,which is conducive to the long-term and stable development of the enterprise.In recent years,there have been frequent cases of listed companies employing technical experts as independent directors.The technical background of independent directors has once become a hot topic in the academic circle,and its influence on enterprise innovation is worth in-depth discussion.This paper takes the high-tech enterprises listed on Shanghai and Shenzhen A-shares from 2011 to 2021 as the research object,based on the organizational bivariate theory,resource dependence theory,principal-agent theory and organizational slack theory,the relationship between the independent directors with technical background and the enterprise bivariate innovation is discussed.The results show that:(1)There is a significant positive correlation between independent directors with technical background and exploratory innovation and exploitative innovation.(2)Performance effectiveness plays a moderating role in the relationship between independent directors with technical background and enterprise dual innovation.When the performance effectiveness of independent directors with technical background is higher,the positive impact on exploitative innovation is stronger.When the performance effectiveness of independent directors with technical background is low,their positive influence on exploratory innovation is stronger.(3)Financial slack plays a moderating role in the relationship between independent directors with technical background and enterprise dual innovation.When the financial slack of listed companies is large,independent directors with technical background have a stronger positive influence on exploratory innovation and exploitative innovation.(4)In the further analysis,based on the nature of property rights,it is found that independent directors with technical background of non-state-owned enterprises have a stronger positive impact on exploratory innovation and exploitative innovation of listed companies than state-owned enterprises.Based on the research on the career experience of independent directors with technical background,it is found that independent directors with technical background from both the business community and the theoretical community have a stronger positive impact on exploratory innovation and exploitative innovation of listed companies,while independent directors with technical background only from the business community or the theoretical community have a relatively weak positive impact on exploratory innovation and exploitative innovation of listed companies.The conclusions of this paper enrich the relevant research on independent directors with technical background and dual innovation,provide a theoretical basis for enterprises to hire independent directors with technical background,provide empirical evidence for independent directors with technical background to give timely and effective suggestions and guidance for enterprise innovation activities,and provide references for enterprises to carry out innovation activities with internal resources.At the same time,it provides ideas for the government departments to improve the independent director system.
