Case Study On Risk Prevention And Control Of Majoring Shareholders’ Equity Pledge For STO Epress

Since the stock market crash in 2015,China’s stock market has experienced a threeand-a-half-year decline.The Shanghai Stock Exchange Index even hovered at 2,600 points.Forced liquidation.The new crown epidemic that broke out in early 2020 also impacted the stock market,causing the stock prices of some sectors to continue to fall,once below the liquidation line.Various events have shown that whether it is an internal crisis or an external risk will invisibly increase the risk of equity pledges,and The events that trigger these risks are often unpredictable,so the prevention and control of stock pledge risks is very necessary.On the basis of reviewing relevant research results at home and abroad,the thesis uses the principles of risk control and adopts a combination of case studies and financial analysis to conduct a more systematic research on the risk prevention and control of listed companies’ equity pledges.The study content mainly consists the following aspects:The first part mainly describes the background and the meaning of equity pledge,and elaborates domestic and foreign equity pledge research from four perspectives:the motivation,economic consequences,risks and risk prevention and control of equity pledge;The theoretical analysis of equity pledge,including the advantages of equity pledge,transaction mode,risk transmission path,and objectives and principles of risk prevention and control;the third part is based on the listed company STO Express as the research object,and analyzes its major shareholder equity pledge.From the four aspects of financial risk,control transfer risk,market risk,and moral hazard,it specifically elaborates on the risks of STO Express’ s major shareholder equity pledge,and evaluates its risk prevention and control;the fourth part is based on the above analysis results,And then summarize the macro and micro factors that affect the risk prevention and control of major shareholders’ equity pledge,and propose targeted risk prevention and control strategies.Through the above research,the paper concludes that the macro factors that affect the equity pledge of major shareholders include capital market transparency and regulatory policies,and the micro factors include the corporate governance structure,the effectiveness of internal control control,and the professional level of risk prevention and control personnel.Build a comprehensive risk prevention and control system from the perspectives of the information disclosure system,improving relevant laws and regulations,and optimizing the internal governance structure.
