As an important part of the multi-level capital market,the National Equities Exchange and Quotations(NEEQ,known as the New Third Board)has developed rapidly since 2013.At present,there are about 6900 listed companies.As the person in charge of information disclosure,the board secretary plays an important role in the New Third Board.Meanwhile,the violations of the Board secretary of the New Third Board companies occur from time to time.Compared with the establishment time of the Main-Board Market and Growth Enterprise Market,the development and growth of the New Third Board is less than a decade.At present,there are few studies on the competency of board secretary of the New Third Board companies,Most of the New Third Board companies are innovative,entrepreneurial and growing small and medium-sized enterprises,so the training and investment of the Board secretary is relatively small,which leads to the confusion of the Board secretary on how to improve his competence.This paper introduces the current situation and causes of the Board secretary of the New Third Board companies,and analyzes the violation of the Secretary of the board of directors.In order to better improve the competency of the Secretary of the board of directors,this paper collects and analyzes the rules and regulations,recruitment information and expert interviews related to the Board secretary through relevant literature and theoretical research,and constructs the competency model of the Board secretary of the New Third Board companies.The model consists of five dimensions:knowledge,skills,social roles,personality traits and motivation,and 20 competency elements such as financial knowledge,coordination and communication skills,ties and bridges.Through the questionnaire and analytic hierarchy process,the author organically combines qualitative judgment and quantitative calculation,determines the weight and comprehensive ranking of each competency index of the model,obtains more scientific quantitative data,analyzes and evaluates the weight of the model,and finally puts forward some suggestions to improve the competency of the Board secretary. |
