| In recent years,China’s private real economy has developed vigorously,playing an important role in expanding employment,promoting development and strengthening the economy.However,the internal work of some private enterprises to be listed has been at a relatively low level,and the internal management environment is poor,which leads to the failure of their own listing.This paper mainly selects LS Company as a specific case,evaluates the internal control environment of the enterprise,finds the internal control problems and causes that lead to the company’s listing failure,and puts forward corresponding improvement and optimization measures.Firstly,this paper discusses the reasons for the failure of listed enterprises in China,selects typical failure cases for analysis,and introduces principal-agent theory,utility theory,broken window theory,enterprise risk management theory and relevant research results of domestic and foreign scholars.Secondly,it introduces and analyzes the specific practices and measures of LS Company in internal control.At the same time,based on the existing theories and literature results,16 specific indicators are selected from five aspects including internal control environment,internal control system,internal control activities,information disclosure and internal control supervision,and analytic hierarchy process is used to construct the evaluation model of enterprise internal control level.Finally,combined with the fuzzy comprehensive evaluation method for LS Company internal control evaluation analysis,found the internal control problems leading to its listing failure factors and causes,and put forward the corresponding optimization suggestions and measures.The research in this paper mainly draws the following conclusions :(1)Internal control environment is the most important influencing factor in enterprise internal control quality evaluation.Enterprises need to attach great importance to the improvement of internal control environment;(2)Based on the evaluation results,it is found that the internal control problems of LS Company are mainly reflected in the obvious characteristics of the family internal control environment,the lack of modern internal control management system,the serious corruption in the company’s internal business activities,the disclosure of business information that does not meet the requirements and the lack of effective internal control and supervision system.The causes of the problems lie in the large proportion of family shares,the lack of modern internal control consciousness of the main managers,the lack of professionals in the internal control of enterprises,and the imperfect internal supervision mechanism.(3)According to the above problem,this paper puts forward the reasonable distribution of internal shareholding structure to perfect the internal control environment,adopt modern internal control mechanism of alternative family management mode,improve internal management activity compliance transparency contain internal corruption,improving the quality of company management information disclosure,make all-round optimization suggestions measures such as internal control regulatory system.Taking LS company as an example,this paper deeply analyzes the problems related to internal control,which helps to enrich the internal control research system and provide a reference basis for the company to carry out internal control work.At the same time,it also provides some help for other private enterprises preparing for IPO in the construction of internal control. |
