Equity incentive is one of the important problems in the corporate governance.Formulating and implementing effective equity incentive policy can effectively bound interests of companies,shareholders and employees,and form a community of each other’s fate,and make enterprise managers to reduce there short-sighted behaviors,and stimulate the enthusiasm of in-service employees which enhancing the innovation ability and creativity of the enterpris.It’s also helping for introducing and reserving the key core talents of the enterprise,striving to achieve the strategic goal of long-term development of the enterprise.Equity incentive is worth further studying.Through sorting out relevant references at home and abroad,it’s easy to find that there are many theoretical studies on equity incentive system,which is worth learning from.B enterprise is a high-tech enterprise,which has been established for more than 4 years.The incentive policies currently implemented have not achieved the expected effect.Taking B enterprise as a case study,and then design a series of schemes about equity incentive which is scientific and reasonable for B,can make a sense for providing reference for the practical research of equity incentive.This paper first conducts a background study on ENTERPRISE B,which contains current corporate governance overview,enterprise B’s overall human resources,it’s basic financial situation.And making a comparative analysis about the impact of current incentive policies,some problems of the existing incentives can be found,and instruct the necessity of equity incentive plan implement in B company.Then according the questionnaire survey,the article to find the important factors,which influence the employee to take part in the equity incentive plan,According this,then designing a equity incentive plan with high employee satisfaction for B company.The specific scheme includes the choice of equity incentive object,incentive mode,source and distribution,quantitative pricing,term of validity,exercise conditions and withdrawal mechanism,etc.Finally,it provides guarantee measures for B enterprise to implement equity incentive plan,including organizational management,salary performance management,decision-making mechanism,financial security system,internal control and corporate culture construction.Hoping it can contribute to the development of China’s equity incentive system.
