The Research Of Authorized Capital System In China

Now,because of the influence of Covid-19 and the change of international economy environment,the development of economy in China is hitting a bottleneck.It is necessary for us to discover a new point of growth of economy.The well running of the companies,which is one of the main participants in market,is related to the sustainable growth of the economy.What’s more,releasing the restrain,improving operating effieieney is important.The authorized capital system has been running for many years in abroad.Compared to the legal capital system,the authorized capital system is doing better in improvmg production of the companies.Implementing the authorized capital system is the trend of the development of capital system of company law all around the world.So the amendment of Chinese company law in 2021,which means the import of the authorized capital system,is an action to adapt the trend of the development of the company law in the world and improve the quality of the economy in China.This paper would cut into Article 96 in the draft of the company law,and illustrate the authorized capital system theoretically.And combining the practical achievements and cases of company law at home and abroad,this paper aims at achieving a am endment of the company law that will be suitable for the economy development in China.As a result.the system will be helpful for the economy.
