Study On The System Of Shareholder Exit For Limited Liability Companies In China

Limited liability company is one of the enterprise forms in China and an important part of the market.According to China’s State Administration for Industry and Commerce,as of July 2020,there are 240 million registered limited companies in China.Limited liability company is not only the legal subject with the largest number of enterprises in China and the widest range of fields,but also one of the important forces carrying the development of China’s national economy,and an important carrier to attract and protect investment.However,due to the late start of corporate law in China,although a series of shareholder withdrawal systems have been set up,there are always problems such as insufficient legal basis,unclear application and unified standards in practice.Therefore,the establishment of a more perfect shareholder withdrawal system of limited liability company is the key issue for the future development of company law.This thesis mainly studies the shareholder withdrawal system of limited liability company in China.First of all,in the introduction,the thesis first introduces and expounds the research background,research significance,research methods and research content of the shareholder withdrawal system of limited liability company in detail.In the chapter of overview of the shareholder withdrawal system of limited liability company,the paper introduces the connotation,historical inheritance,type content,theoretical basis and other aspects of the shareholder withdrawal system of limited liability company,which lays the groundwork for the research of subsequent chapters and also explains the rationality of shareholder withdrawal and the urgent need for improvement.In the following chapters,based on the literature analysis and investigation,the paper systematically summarizes the current situation and existing problems of the four withdrawal forms of limited liability company’s shareholder withdrawal system in China,and conducts in-depth analysis and discussion on its defects.In the chapter of foreign law and experience for reference,the paper uses the successful experience and practice of some foreign developed countries,such as Germany,the United States,Japan and other places in the shareholder withdrawal system,compares and analyzes it from multiple levels,and probes into its worth for our country to learn from.In the chapter of improving suggestions,the paper also puts forward a series of suggestions to improve the shareholders’ withdrawal system of China’s limited liability companies according to the system defects mentioned above,and analyzes and explains each suggestion in detail,in order to provide reference for further improving the shareholders’withdrawal system of China’s limited liability companies.In short,this paper aims to deeply explore the current situation,existing problems and improvement plans of the shareholder withdrawal system of China’s limited liability company,and provide valuable references and suggestions for perfecting the shareholder withdrawal system of China’s limited liability company.
