| With the transformation of the global economy,many companies have realized this major historical opportunity and seek expansion and development.In this context,inter-enterprise acquisitions are becoming more and more intense.Due to inter-enterprise mergers and acquisitions,the amount of goodwill is also particularly important and has become an indispensable part of corporate financial statements.Under the background of accounting standards in line with international standards,the new accounting standards issued in China in 2006 mentioned that: In order to more truly reflect the value of goodwill and business operations,the subsequent measurement of goodwill will adopt the impairment test method.There have been a lot of goodwill storms in the market.Listed companies have accrued huge goodwill impairments,resulting in continuous devouring of profits.Therefore,whether the current goodwill follow-up measurement method can fairly reflect the value of goodwill has aroused widespread concern in the academic circles.In this context,this thesis selects Wanda Films as the case company.First,sort out the formation of Wanda Films’ huge goodwill and the completion of performance commitments,analyze the problems that have emerged in the current goodwill measurement process of Wanda Films,and find that Wanda Films has earnings management motives and information on impairment tests The problem of insufficient disclosure.The problems in Wanda Films’ goodwill impairment process exposed the flaws in the existing goodwill follow-up measurement methods.Based on this,in order to explore a follow-up measurement method that can better reflect the real value of goodwill,effectively restrain earnings management activities,and prevent the risk of goodwill impairment.This thesis compares the traditional system amortization method,the current goodwill impairment method,and the new direction of subsequent measurement impairment and amortization combined method,and uses these three methods to simulate the subsequent measurement of the goodwill formed in the Wanda Films merger and acquisition.The subsequent goodwill value was recalculated,and the financial statements under different methods were prepared according to the adjusted goodwill value.Then compare the financial statement related data,suppression of earnings management,and implementation of the three methods.It is found that the combination of impairment and amortization is a more ideal method for the subsequent measurement of goodwill than the impairment test method and the systematic amortization method.The combined method of depreciation and amortization can better reflect the real operating conditions of the enterprise,and it has a strong performance in reducing the possibility of earnings management.Finally,on the basis of the case analysis,it is concluded that the standardization of the goodwill impairment test process,the improvement of the subsequent measurement method of goodwill,and the prevention of the risk of goodwill impairment,etc.,for the purpose of protecting the rights and interests of investors,will help capital The market is developing well. |
