| Since the reform and opening up,China has vigorously promoted the strategy of "going out",and various enterprises have tried to improve their international competitiveness and join the international market.Faced with the rapid development of the economic pattern and the increasingly fierce global competition market,it is necessary for enterprises to improve their technical level,obtain a larger market share,and walk in the forefront of The Times.As a very important way of investment,transnational merger and acquisition is one of the important ways for enterprises to directly contact with foreign advanced technology under the current development pattern.Enterprises can learn advanced overseas technology and management experience through cross-border merger and acquisition,which can help enterprises accelerate the pace of technological innovation and promote the transformation and upgrading of enterprises.The manufacturing industry occupies an important position in China’s economic development and is one of the important pillar industries of China’s economy,and its development plays an important role in promoting China’s economic development,scientific and technological innovation and foreign trade.For manufacturing enterprises,the traditional development has been difficult to meet the development needs of the current era.Various manufacturing enterprises have carried out cross-border mergers and acquisitions to acquire overseas advanced technology and operation management experience.However,before and after the implementation of cross-border mergers and acquisitions,enterprises should recognize their own strength and carry out effective cross-border mergers and acquisitions according to their own development conditions,so as to promote the development of enterprises in the direction of intelligence and innovation.This dissertation adopts a case study approach,taking Midea’s acquisition of Kuka as an example,to study the possible reverse technology spillover effects that may occur after cross-border mergers and acquisitions of enterprises.This article first summarizes the relevant theories and knowledge foundation of reverse technology spillover effects in cross-border mergers and acquisitions,briefly introduces the current development status of manufacturing enterprises’ cross-border mergers and acquisitions and reverse technology spillover effects,and divides the reverse technology spillover effects of cross-border mergers and acquisitions into four aspects: technical knowledge spillover effects,revenue feedback effects,demonstration and competition effects,and industrial linkage effects.Secondly,this article introduces the case of Midea’s acquisition of Kuka,analyzing the reverse technology spillover effect generated by Midea’s acquisition of Kuka robots.It compares the technological development and related performance after cross-border mergers and acquisitions with Gree Group,which is also a home appliance enterprise.This article mainly selects data on bilateral research and development investment,cited overseas patents,patent applications,Midea’s robot market share The market correlation data generated after the merger and acquisition of Kuka verifies the impact of reverse technology spillover effects generated by cross-border mergers and acquisitions on the development of Midea’s enterprises.Based on the relevant information of Midea’s merger and acquisition of Kuka robots,it is organized and supplemented with factual evidence.Finally,this article summarizes the case analysis and summarizes the issues that manufacturing enterprises need to pay attention to in cross-border mergers and acquisitions from the perspective of Midea’s merger and acquisition of Kuka.Relevant policy recommendations are proposed on how the government and enterprises can reduce the risks brought by cross-border mergers and acquisitions and how to grasp the reverse technology spillover effects generated by cross-border mergers and acquisitions.The government should provide corresponding policy support for enterprises to "go global",Under the influence of reverse technology spillover effects,various industries will gradually form a situation where their technological level is jointly improved and the competitive environment is constantly optimized.In cross-border mergers and acquisitions,enterprises should choose appropriate cross-border merger and acquisition plans based on their own development situation.At the same time,they also need to continuously improve their technical level and strength,laying the foundation for absorbing the reverse technology spillover effects generated after cross-border mergers and acquisitions. |
