M&A is an important way for enterprises to allocate assets.Usually,enterprises achieve the purpose of optimizing industrial structure and improving productivity efficiency through M&A,so as to promote the profitability upgrading and benign development of enterprises.In recent years,there have been a large number of M&A cases in China.Some enterprises have achieved the expected results after M&A,but some enterprises have not achieved the goal of promoting enterprise development after M&A.Studying successful M& A cases and summarizing M&A experience are of great significance to guide enterprise M&A in the future.This paper takes Jiangxi Copper’s acquisition of humon shares as an example.Firstly,this paper sorts out the research background and introduces the related concepts and basic theories of synergy,so as to provide theoretical support for the follow-up case of Jiangxi Copper’s merger and acquisition of humon shares;Secondly,in the direction of case study of nonferrous metals sector,Jiangxi Copper Industry and humon Co.,Ltd.,which are relatively representative,are selected as the research objects,and the background introduction and motivation analysis of both M&A enterprises are carried out,focusing on the synergy research of enterprise financial indicators.Through the research,it is found that Jiangxi copper has optimized its solvency in terms of financial coordination and produced a certain tax saving effect;In terms of management coordination,it has improved profitability and strengthened cost control;In terms of business coordination,it has improved its development ability and profitability;Finally,combined with the current situation of Jiangxi Copper’s M&A of humon in the nonferrous metals sector,this paper puts forward the problems of insufficient optimization of the financial team,insufficient control of sales expenses and low efficiency of resource complementarity,and extracts the enlightenment with reference value,so as to provide a reference case for the M&A of nonferrous metals sector in the future.
