Research On The Legal Issues Of Bankruptcy And Reorganization Of Zombie Companies

"Zombie companies" have a significant hindrance to the national economic development,and timely remediation is needed to promote the national economic development.In the context of the country's vigorous development of the internal circular economy and supply-side reforms,it is imperative to rectify "zombie enterprises".At present,the main methods of remediation of "zombie enterprises" include bankruptcy liquidation and bankruptcy reorganization.Among them,most of my country's "zombie companies" use bankruptcy and liquidation methods for rectification,and only a few companies use bankruptcy and reorganization methods for rectification,and there are certain legal problems.This article uses literature reading and case analysis methods,through data research and case analysis,it is found that my country's current bankruptcy and reorganization of "zombie companies" mainly include the following points: First,zombie companies undergo bankruptcy and reorganization.The difficulty is greater.The main reasons are the unclear definition of the scope of restrictions on corporate bankruptcy reorganization,insufficient government delegation of powers during the remediation process,restrictive financial debt restructuring methods,and the current “zombie enterprise” debt relationship is too complicated.The second point is that the court's compulsory approval system is not sound.It is mainly manifested in the imperfect rules of the court's power restriction,fewer restrictions on the compulsory approval system,and inadequate protection of the interests of creditors.The third point is to reorganize the recruitment of investors,which is mainly reflected in the imperfect interest protection system for newly recruited investors and the non-standard investment norms of investors.The fourth point is the credit repair problems faced by enterprises after successful bankruptcy reorganization.In response to the above legal issues,after theoretical practice and reference to previous studies,a series of optimization opinions and suggestions are put forward.Through the above research,we discovered the current legal problems facing the bankruptcy and reorganization of "zombie enterprises",and proposed corresponding solutions to provide opinions and suggestions for the subsequent theoretical research and rectification of "zombie enterprises".
