Research On The Impact Of Performance Commitments On Goodwill Impairment In Listed Companies' Mergers And Acquisitions

Since the government's support for merger and reorganization of listed companies increased in 2014,the merger and acquisition activities of listed companies have become increasingly active,and subsequent problems have also occurred frequently.Among them,the impairment of goodwill has attracted great attention from all sectors of the society.Among the numerous listed companies that have made large impairment of goodwill,one of their similarities is that they have signed performance commitment agreements in merger and reorganization.Does this mean that performance commitment will affect the impairment of goodwill?If so,when and how will the impairment of goodwill be affected?In order to solve the above problems,the author starts from the perspective of performance commitment and takes J company as a case to study the impact of the analysis of performance commitment behavior in the merger and reorganization of the company on the impairment of goodwill.Based on the impairment of goodwill,the author makes an in-depth analysis of the existing problems and puts forward corresponding improvement plans and policy suggestions.This thesis is divided into six parts.The following are the main contents of each part:The first part is the introduction.Firstly,it expounds the research background and significance of the impact of performance commitment on goodwill impairment in merger and reorganization of listed companies.Then it summarizes the research status of performance commitment and goodwill impairment at home and abroad,in order to provide the research basis for this paper.Finally,it introduces the research content,research methods and innovation of this paper.The second part is the concept definition and theoretical basis.It introduces the relevant concepts and theories of performance commitment and goodwill impairment respectively,which is the theoretical basis for the formation of this point of view.The third part is the analysis of goodwill impairment in the merger and reorganization of J company.In this part,firstly,the current situation of goodwill impairment and performance commitment of listed companies is introduced,then the general situation of J company is introduced,and the situation of performance commitment and goodwill impairment before and after the acquisition of D company and W company is explained.The fourth part is about the impact of J company's goodwill impairment and performance commitment.Through analyzing the process of merger and reorganization of a case company,the paper finds out the problem of goodwill impairment,and studies the impact of performance commitment on goodwill impairment.The.fifth part is the improvement scheme design and policy suggestions of goodwill impairment of J company.In view of the above problems,the paper designs corresponding improvement plans for listed companies and puts forward reasonable policy suggestions for the government.The sixth part is conclusion and prospect.Summarize the whole paper,draw a conclusion,point out the shortage,and look forward to the research direction of this paper.This paper mainly uses literature research,content analysis,comparative analysis and case analysis.Through reading the literature and materials related to the research content,it provides the theoretical basis for case analysis.Taking the merger and reorganization a process of J company as a case study,this paper collects relevant information of the company,compares the changes of financial data in different periods,and studies the impact of performance commitment on goodwill impairment.Finally,according to the problems existing in the case company,it puts forward suggestions and forms conclusions.
