In the new economic era,monetary capital is no longer scarce,and the role of talents with the ability of technological innovation and management in corporate governance is gradually highlighted.Therefore,the importance of establishing a scientific,comprehensive and long-term effective equity incentive mechanism in the new economic era is also reflected year by year.So far,equity incentive has experienced long-term exploration and practice.Whether it's the incentive method of using equity as payment tool or cash as payment means,the enterprise has been exploring and practicing what kind of ways to attract,retain and use people,and how to better advance "management" and "development" at the same time.Especially after the enterprise develops to a certain scale,the management mode will be upgraded from extensive management to fine and professional management.Therefore,the continuous development of the company has brought certain challenges to its management and incentive.In this way,the enterprise adopts differentiated and diversified incentive methods to implement targeted and accurate policies,which will be of great benefit to the development of the enterprise.Firstly,this paper analyzes the literature research on equity incentive and employee stock ownership plan from three aspects of motivation,influencing factors and incentive effect through literature research method.It is understood that the main motivation of equity incentive is the constraint and incentive to senior executives and core employees,and the employee stock ownership plan focuses on the benefit sharing with ordinary employees.Both of them can improve the corporate governance structure,enhance the enthusiasm of employees,and then enhance the performance of the company.Secondly,it elaborates the motivation and specific situation of the two phases of restricted equity incentive scheme and two phases of ESOP.Thirdly,this paper analyzes the implementation effect of multi-level equity incentive from two aspects of financial performance and non-financial performance.The results show that in terms of single financial indicators,the implementation of multi-level equity incentive can significantly improve the profitability and operation ability of the company,and improve the development ability of the company to a certain extent.The implementation of ESOP has realized the desire of enterprises to ease the financing constraints and broadened the financing channels to a certain extent.In terms of comprehensive financial indicators,using EVA analysis method,it is concluded that multi-level equity incentive has a good impact on the business performance of the company.In terms of non-financial performance,the company's R & D innovation ability has been further enhanced;the quality of the company's employees has been greatly improved;at the same time,from the market reflection,the two phases of equity incentive and the first phase of employee stock ownership plan have a positive effect.Finally,through the analysis of the incentive effect,it is concluded that there are many advantages and disadvantages for enterprises to adopt multi-level equity incentive,and puts forward targeted optimization suggestions for the existing shortcomings,hoping to solve the existing problems and provide some experience for other companies to implement equity incentive.
