Research On The Risk And Prevention Of Goodwill Impairment Under Merging VAM In Game Company

With the development of domestic capital market,the M&A activity is active.The continuous merger and acquisition of enterprises is accompanied by the expansion of the scale of goodwill in the capital market,which also means that the problem of goodwill impairment will become more and more obvious.In recent years,the large-scale impairment of goodwill in the capital market has made the Ministry of Finance and the Securities Regulatory Commission issue a series of documents on the impairment of goodwill,so the significance of research on the risk of impairment of goodwill in M&A is gradually highlighted.When the enterprise carries on the M&A activity,signing the gambling agreement with the M&A party has become a common means to guard against the risk of impairment of goodwill.Therefore,how to correctly and rationally use the gambling agreement to avoid the risk of goodwill impairment is necessary,which could protect the benefit of companies.Game companies as a hot acquisition target,its own "light assets" characteristics make goodwill impairment more common.By analyzing the impairment of M&A goodwill M,this paper studies how to use gambling agreement to prevent the risk of M&A goodwill impairment.This paper first summarizes the relevant theories and summarizes the current research situation at home and abroad,the n combs the general situation of the series M&A cases of M companies,then analyzes the reasons for the impairment of goodwill of M companies and the effect of M & A agreement.Finally,it gives some suggestions on the risk of impairment of goodwill.The main reasons for the impairment of M company’s M&A goodwill are as follows: the change of game industry,the strengthening of regulatory policy and the unreasonable strategic management of large shareholders;the payment method,performance evaluation standard and performance compensation adopted by M company’s M&A have different preventive effects on the risk of impairment of goodwill.This paper puts forward the following suggestions for the signing of the gambling agreement: choosing the subject matter of the merger and acquisition carefully and making a reasonable valuation of the enterprise;designing diversified payment methods,diversified performance evaluation criteria and setting flexible performance commitment indicators;avoiding the risk of the management behavior of the M&A party after the signing of the gambling agreement and strengthening the integration supervision of the M&A party.
