With the rapid growth of market demand for financing,equity transfer guarantees have emerged as an atypical guarantee method outside of statutory financing channels.While the equity transfer guarantee provides convenience for transactions,it also has a lot of disputes in theory and practice because of its effectiveness.Therefore,further clarifying the effectiveness of equity transfer guarantees will not only facilitate the construction of a system of equity transfer guarantees,but will also have a strong guiding role in judicial practice.Based on a brief description of the related concepts of equity transfer guarantees,this article focuses on the effectiveness of equity transfer guarantee agreements,the effectiveness of equity transfers in equity transfer guarantees,and the effectiveness of equity guarantees in equity transfer guarantees.The full text is divided into four parts.The first part is the conceptual analysis of equity transfer guarantee.This part mainly introduces the concept of equity transfer guarantee,which is different from equity pledge and real stock debt.The core point of view is to demonstrate the atypical guarantee positioning of equity transfer guarantee.The next part is the effectiveness of the equity transfer guarantee agreement.This part focuses on the two contents of an effective equity assignment guarantee agreement and an invalid equity assignment guarantee agreement.The third part is the effectiveness of the equity assignment in the equity assignment guarantee.Focus on the issue of equity transfer,including the realization of the equity transfer in the equity transfer guarantee and the effectiveness of the equity transfer after the equity transfer.The fourth part is the guarantee effectiveness of the equity transfer guarantee.The focus is on the effectiveness of the equity transfer guarantee divided into two parts,which are discussed from the internal effect and the external effect respectively.The core point of this paper is to analyze and demonstrate the effectiveness of the agreement,the effectiveness of the assignment and the effectiveness of the guarantee in the equity transfer guarantee.
