With the development of market economy becoming more and more mature,enterprises are more and more inclined to expand industrial scale and improve performance through mergers and acquisitions.With the development of high premium m&a activities,more and more goodwill is generated in m&a,and the proportion of goodwill in corporate assets is also increasing,which has an important impact on the future business performance and sustainable development of enterprises.Since the 1920 s,the theoretical and practical research on goodwill has been carried out.Due to its illegibility and dependence,there are many problems in the recognition and measurement of goodwill.It is greatly significant to study the theory and practice of goodwill in China by improving its accounting treatment method.Based on a systematic review of the literature related to the initial recognition of goodwill and subsequent measurement of goodwill information disclosure and goodwill impairment risk,this paper applies the principal-agent theory,information asymmetry theory,overconfidence theory and earnings management theory.This paper first studies the differences between China’s accounting stand ards and international accounting standards and American accounting standards in terms of accounting,and then selects typical m&a cases in the new energy industry,such as the merger and acquisition of Optimum Nano by J&K Optimum Energy,to study the content of goodwill in the confirmation of measurement records and reports.It is found that,in the initial recognition of goodwill,the willingness of the acquired enterprise to enter new fields,the evaluation and appreciation of value,the bargaining power,the inflated pricing of the subject matter brought by the transaction system of share payment,the fair value of identifiable net assets and other factors all lead to the overestimation of goodwill.In the subsequent measurement,goodwill impairment has a lag,the amount of impairment is unreasonable and the information disclosure is incomplete.The reasons for goodwill impairment are mainly the high valuation in the m&a process,the motivation of operating risks and earnings management.On the basis of case study,this paper thinks that the following aspects should be carried out to improve the accounting treatment of goodwill:First of all,when the initial measurement of goodwill,the accounting consolidation standards should be revised,the transaction restructuring activities should be standardized,the merger costs should be reasonably recognized and the fair value of identifiable net assets should be evaluated;Secondly,the subsequent measurement of goodwill can refine the asset group to optimize the impairment test method.Finally,continuously strengthen the supervision of accounting information disclosure,formulate a more perfect information disclosure system.The main contributions of this paper are as follows :(1)to study specific cases and provide empirical data for the establishment of accounting standards on goodwill in China;(2)based on the case follow-up measurement improvement research,this paper puts forward practical policy Suggestions on the accounting treatment of goodwill and the supervision of government departments in China. |
