Since the implementation of the classified reform of state-owned enterprises in2015,the reform of the mixed ownership of competitive state-owned enterprises has always been the focus of academia and practice.In December 2019,the Central Economic Work Conference held in Beijing decided to implement the three-year action plan for the reform of state-owned enterprises in the next year to further optimize the layout of state-owned capital.It can be considered that competitive SOEs will be the focus of mixed ownership reform in the next few years.Competitive state-owned enterprises still have many problems that need to be further improved through reform in corporate governance.However,in the process of reform,there have been problems that heterogeneous capital is difficult to integrate and cannot exert governance effects.At the critical moment when the new stage of reform is about to begin,it is necessary to conduct in-depth research and discussion on how competitive SOEs can improve governance efficiency through mixed ownership reforms in combination with cases.Therefore,the research purpose of this article mainly has the following two points:First,analyze the key factors influencing the governance effect in the path of competitive state-owned enterprise mixed ownership reform.The path of mixed ownership reform refers to a series of concrete plans for reform.It can be seen from the actual case that some key choices in the reform path will have a greater impact on corporate governance,and then produce different reform effects.Therefore,it is necessary to compare the reform path of the case enterprises with the state-owned enterprises in the same industry and analyze their characteristics,so as to provide ideas for the selection of the reform path of the mixed state-owned enterprises’ competitive ownership.Second,analyze the impact of mixed ownership reform on the governance of competitive SOEs,that is,the governance effect of reform.The reform of mixed ownership may have an impact on the governance structure and mechanism of stateowned enterprises,which in turn affects the corporate governance efficiency.However,the reform goals and external governance environment of competitive SOEs are different from other types of SOEs.Therefore,this article will select Gree Electric Appliances as a research object in a competitive industry,and specifically analyze the governance effects of its mixed ownership reform to provide a reference for improving the corporate governance of competitive state-owned enterprises.The main research contents of this article include:The first part introduces the research significance of this paper from the perspective of the institutional and practical background of the mixed ownership reform.After explaining the reasons for choosing Gree as a case,the purpose of this research is proposed,and the ideas and possible ideas for this research are explained contribution.The second part reviews the existing relevant research literature.It mainly includes the existing research literature on the motives,paths and governance effects of mixed ownership reform of state-owned enterprises.The third part defines the concepts involved in this article and expounds the theoretical basis of this study,describes the status quo of competitive SOE reform,the realization path and the characteristics and problems of its governance,and then theoretically analyzes the reform of mixed SOE ownership Relationship with corporate governance.The fourth part mainly sorts out and analyzes the mixed ownership reform cases of Gree Electric.Combining the industry background,it combed Gree Electric’s three-stage reform path,and then compared and analyzed the characteristics of its reform path in the industry.Based on the case analysis,the fifth part further analyzes the changes brought by the mixed ownership reform to Gree Electric Company’s equity structure,board structure and management incentive system,and then analyzes the governance effects of these changes in theory and practice.The sixth part is the research conclusion part.Summarize the case of Gree Electric Appliances mixed ownership reform,draw research conclusions and enlightenment,and provide references for the reform of competitive state-owned enterprise mixed ownership reform from the perspective of improving corporate governance.The expected contributions of this research are:First,most of the literature on the reform of mixed ownership of state-owned enterprises in our country does not conduct research on SOEs in competitive industries.This paper analyzes the governance effects of the reform of mixed ownership of competitive SOEs based on industry characteristics and competitive environment,which may make up for the lack of research and Provide a reference for the reform of competitive state-owned enterprises from the perspective of improving corporate governance,which is conducive to promoting the classification reform of state-owned enterprises.Second,we can see from the actual case that some key choices in the reform path will have a greater impact on corporate governance.However,most of the existing studies have not combined the case to analyze how to choose the appropriate reform path to achieve perfection.The goal of governance.This article analyzes the effect of corporate reform and governance in the case,and also focuses on the impact of the choice of reform path on corporate governance,which may provide a more complete reference for other state-owned enterprises in reform ideas.
