| Driven by the trend of Automotive Electrification,Intelligentization and Network connection globally,as the supplier of the OEM factory-the Automotive Electronics Industry-is radiating unprecedented vitality,but also facing great challenges.At the same time,with the rapid development of the global science and technology and the changes from day by day in the automotive industry,the requirements for the upgrading and replacement of automotive electronic components are becoming higher and higher.In this paper,by studying the process of merger and acquisition of a major multinational enterprise with better resources in the industry or one of the main business departments of the enterprise,in order to seek the rapid development of the globalization strategy,this paper demonstrates and obtains the enterprise through the strategy of resource integration,merger and acquisition to realize the company in the new entry industry or enter the industry and improve the market share.The rapid development of small accounts has become an important way and effective means for enterprises to seek strategic decisions for global development.At the same time,the merged enterprises or departments,through the division of the whole or part of the subordinate departments through the advantages and disadvantages,to integrate,dismantle and sell the internal resources of the enterprises,the new enterprises formed after the merger and acquisition,through the new market positioning,increase the investment of resources and strengthen the innovation and research and development of enterprise products,and finally realize the awakening of the enterprise,force the goal of rapid development of the enterprise.This paper uses the research method of the exploratory single case,according to the research ideas of the continuous innovation and breakthrough of the transnational corporations in the industry,with the PEST environmental analysis method,the SWOT advantage and disadvantage analysis method and the Potter five force model’s competitive theory as the main basis and the theory guidance,through the combination of the Germany ZF group and the American capital company.BCS,as the non-core business department after the combination,and was sold to Luxury.This paper raises the strategy of resource configuration and strategic layout in various aspects and in different companies during the process of merger and acquisition,also put forward the problems in the process of mutual evolution in different enterprise backgrounds after the sale,and set up a new company which is suitable for the merger and integration,the overall development strategy and the basic competitive strategy.After the merge,BCS company takes resources into the overall strategic development policy of the development of the enterprise,combines the external environment and the internal environment of the two parties,and studies and analyzes the strategic formulation of the company and the establishment of the enterprise culture.Therefore the effective strategy implementation measures for the development of the enterprise are obtained and applied. |
