With the adjustment of my country’s economic structure,the contradiction between enterprise owners and managers becomes increasingly prominent,while equity incentive measures can effectively deal with the contradiction between the two sides,ensure that the interests of both sides go in the same direction,and then motivate the senior management and retain the core personnel,and promote the sustainable development of enterprises.In order to effectively respond to the current changes in the domestic and international economic situation,it is a good way for listed companies to launch equity incentive policies in a timely manner to revitalize enterprises and enhance their comprehensive competitiveness.Therefore,this thesis take TC company as the case research object,to find out the shortcomings through the operation in whole process of equity incentive,then focus on the analysis for the reasons of company’s implementation motivation of equity incentive and what’s the impact on the corporate performance and draw the inspiration.This paper selects TC company’s implementation motivation of equity incentives as the case research object,combs and summarizes relevant literature and theories,adopts literature research,financial index method and event research and other methods to research TC company’s restricted stock incentive plan in first phase and follow the status of stock option,equity option and the situation of restricted stock incentive plan in second phase,in-depth analysis of the implementation performance of TC company’s equity implementation,implementation motivation,financial performance,human resource performance and market performance,to explore its role in retaining the company’s core talents,strengthening internal incentives,Improve the company’s internal management level and comprehensive competitiveness and other aspects of the company’s performance management and sustainable development.Through case analysis,it is found that equity incentives have a positive effect on TC’s business performance,human resource management,employee loyalty,and R&D innovation capabilities,which are mainly reflected in the following points:(1)In terms of operating performance,the two-phase equity incentive plan as a whole has a positive effect.It has played a positive role in promoting the company,and the implementation of the second equity incentive plan is more specific and effective,and it also reduces the pressure on financial expenditures for the company.The value of the company’s financial indicators has been significantly improved,the governance structure and management level has been improved,and the business performance has been greatly improved;(2)In terms of human resource performance,the two-phase equity incentive has promoted the increase of the per capita salary and per capita performance of the company’s personnel,the employee turnover rate is decreasing year by year,the talent attraction is greater,attracting more core talents,and improving the employees’ work enthusiasm and loyalty;(3)In terms of market performance response,the incentives increase the company’s stock price,enhance the company’s market value,and also enhance investors’ trust in the company’s production,operation and management,which is beneficial to the company.bring about positive effects.Finally,aiming at the deficiencies in the design and implementation of the TC company’s equity incentive plan,targeted optimization suggestions and safeguard measures are put forward,so as to improve the company’s equity incentive management level and implementation effect.It is hoped that the research content of this topic can improve the internal governance effect of the company,and at the same time can provide reference for the implementation of equity incentives for my country’s technologically innovative fine chemical industry enterprises.
