| The development of mining industry has typical cyclical characteristics and is closely related to the process of industrialization,which is mainly reflected in the high correlation between mining market and global economic development.The industrialization of various regions and countries in their respective time periods gave birth to the mining cycle,which mainly reflected the cyclical change trend of main metal prices.In the development of Z Mining Group for more than 20 years,the whole development process has completely experienced the metal price market cycle,and the strategic objectives of the enterprise group are also constantly improving.Due to the change of business focus and environment,its management and control mode needs corresponding adjustment.Group management and control mode covers a wide range of contents.The appearance of the management and control mode is mainly the external organizational structure,and the essence is embodied in the internal control of financial activities.Limited by the space,the author focuses on the organizational structure and financial activities that support the implementation of strategic objectives in the management and control model.Through consulting and studying enterprise information,combining with comparative analysis of literature,the author takes Z Mining Group as a case to study the change of management and control mode.Based on the theories of group management and control,management and control mode,the "three-dimensional method" and "three-dimensional" and other theories,the author integrates the generalized management and control mode with the core objectives of group governance,control and macro management,and puts forward a compound control mode of "strategic control type governance + specialized classification and hierarchical control + macro management collaborative effect".In this paper,the author studies the group headquarters positioning is not clear,the strategic control ability is limited;the organizational structure is unreasonable,the control accuracy of the group headquarters is not high;the management and control orientation and financial activity control of business units do not reflect the classification and classification,and the control effect is poor;the paper studies how to solve the governance structure,specific control orientation and financial activity control problems in Z Mining Group’s management and control model.Through the implementation of the management and control mode reform measures,we can establish a business sector management framework with the business division as the core,and Z mining group can transform from regional operation management to professional business management;at the same time,by strengthening the group’s classified and hierarchical management and control guidelines,we can improve the organization of investment,merger and construction project audit;we have established the Financial Sharing Center professional services,which has improved the group’s ability to The control level of funds.The effectiveness of the management and control system has been improved,and the group company can focus on strategic decision-making and key business,major investment and construction.By analyzing the existing problems and sorting out the change of management and control model,this paper helps to straighten out the governance structure and financial activity control of large mining enterprises with similar operation and development process,and gradually embark on the direction of simple,standardized and efficient group corporate governance. |
