Research On M&A Audit Risk Of Internet Platform Enterprises

Nowadays,Internet submissions are becoming more and more prevalent,and the government is vigorously advocating “Internet+”.Some traditional industries and professions are actively embracing new technologies,upgrading new formats,and striding into new economic fields.In the era of big data,the development of new technologies and emerging industries has provided the impetus for the development of Internet platform-based enterprises.At the same time,it has also created more hidden,complicated and diverse methods and methods of fraud.Coupled with the active M&A market in recent years,more and more platform-based companies want to achieve their listing goals through mergers and acquisitions,and thus gain a foothold in the highly competitive capital market.When the Internet platform encounters mergers and acquisitions,it brings new impacts and challenges to the original audit theory and technology,and brings new ideas and directions to the research of M&A audit theory.In view of this,this paper intends to conduct an in-depth study on the special types of auditing projects of Internet platform-based enterprises,from the perspective of CPA,using a combination of theory and case studies.It is mainly divided into the following parts:The theoretical analysis part is mainly divided into two aspects.The first is to explain the basic concepts of Internet platform enterprise,“Internet +” audit,M&A audit,M&A audit risk.The second is the comprehensive analysis of process optimization theory,modern audit risk model theory,information asymmetry theory and other related basic theories,which lays a theoretical foundation for further research on M&A audit risk under the background of “Internet+”.The case study part mainly analyzes the specific cases of Reanda's M&A audit of H Group,and analyze the audit risk of M&A audit activities of Internet platform-type enterprises under actual conditions,mainly from two aspects: case introduction and risk analysis.The case introduction includes an overview of the M&A parties,the background and purpose of the merger,the means of mergers and acquisitions,and the merger and punishment.In addition,this part also analyzes the risk of material misstatement of this M&A audit from the aspects of Internet platform-type enterprise M&A market environment,M&A regulatory environment,business model,industry life cycle,ownership structure and business level control;from the perspectives of the professional competence,and M&A audit evidence collection environment and other perspectives further analysis of the reasons for the failure of the auditing procedures in Reanda to be effective in reducing the risk of M&A audits,services for the next Internet platform-based enterprise M&A audit risk response research and discussion.Finally,this paper put forward how to prevent and control the M&A audit risk of Internet platform-type enterprises from the perspective of CPA.In the identification of major misstatement risks,it mainly includes:pay attention to changes in the M&A environment of Internet platform-type enterprises,the internal control of Internet platform-type enterprises and high-risk areas of M&A audits of Internet platform-type enterprises and so on.In the control of risk inspection,specifically including the creation of "Internet+" M&A audit professional team,setting up an "Internet+" M&A audit platform,optimizing the "Internet+" M&A audit process,and strengthening the implementation of the platform-related business control test.I hope that the research on the M&A audit of Internet platform-based enterprises can help CPA use audit resources more rationally and effectively in the new environment,reduce the risk of M&A audit,and better serve the benign development of China's capital market.
