As a fast and effective business model in the process of capital operation,merger and acquisition has gradually become one of the important methods for enterprises to expand and accelerate their development.As an effective tool that can effectively complete the enterprise's expansion,accelerate the structural adjustment of products,rationally optimize the enterprise's asset allocation,and smoothly achieve the enterprise's strategic objectives,mergers and acquisitions have attracted more and more attention.At the end of last century and the beginning of this century,the fifth and sixth wave of mergers and acquisitions swept across the world.Enterprise mergers and acquisitions showed strong momentum of development in China.The mergers and acquisitions industry have gradually shifted from the traditional industry to the high-tech industry which represents new technology,new machinery and new products.However,the success rate of M&A is not so high,such as the failure of the integration of Shougang's M&A of Peru's iron ore,Chinalco's deep-seated M&A of Rio Tinto,the huge loss of Hualing's M&A of FMG and the bad result of CITIC Taifu's Australian magnetite project,which also reflects the serious consequences of the failure of M&A integration.The success or failure of mergers and acquisitions depends not only on the effectiveness of the negotiation stage of mergers and acquisitions,but also on the integration after mergers and acquisitions.It can be said that "integration is the key to mergers and acquisitions,and financial integration is the core of mergers and acquisitions integration".This article focuses on quantitative analysis and qualitative analysis,taking "D Group M&A W Company" as an example,to study the financial integration after M&A.By referring to the research results of domestic and abroad,under the guidance of modern M&A and integration theory,this article discusses the principles,modes and main work contents of financial integration.Based on a brief introduction of the background and purpose of the M&A case,it analyses the specific process and content of financial integration.According to the integration situation of D Group background and purpose of the M&A case,this article analyses the specific process and content of financial integration.Base on the integration situation of D Group and W Company from their initial contact to the two years after M&A,through an effective analysis of the process of financial integration,it evaluates the performance of the financial integration completed by this cross-border M&A,and draws a conclusion that D Group and W Group have completed the financial integration after M&A.The company's financial integration has made remarkable progress and results.At the same time,it analyses the reasons for the insufficiency of financial integration in the process of integration,and puts forward reasonable and effective measures to continue to deepen the financial integration after mergers and acquisitions,then ultimately achieve the goal of financial integration.Finally,based on the analysis of theory and practice,the key points of financial integration in M&A are analyzed,and the main conclusions of this paper are summarized.Firstly,we must attach importance to the formulation of strategic planning for financial integration,and more importantly,through the effective implementation of financial integration content and measures,we should achieve the unified control of institutions,personnel,systems and funds,give full play to the financial synergy effect,and through budget control.And dynamic monitoring to prevent financial risks,implement performance appraisal to promote the revision and implementation of financial integration strategy,and ultimately achieve the strategic objectives of financial integration.
