| In December 2017,China’s pharmaceutical enterprises achieved a revenue of 31 100 billion yuan,a growth rate of 10.82%.The environment of the pharmaceutical industry has improved significantly.The growth of the pharmaceutical market in the developed economies has picked up,and the market demand for emerging economies is strong," The Belt and Road Initiative" strategy has been comprehensively promoted,bringing new opportunities for China’s pharmaceutical industry export,structural adjustment and enterprises’ "going global".However,the pharmaceutical industry is also facing enormous problems,from the "Wei Zexi" martyrdom to the "Chang Chun Chang Sheng " vaccine incident,which has caused extremely bad social impact.According to the statistics of the Securities Regulatory Commission,in the first half of 2018,the Securities Regulatory Commission filed a case to investigate 39 cases of information disclosure violations,.including a number of pharmaceutical companies that violate information disclosure,it is extremely urgent to improve the information disclosure of listed companies in the pharmaceutical industry.Therefore,this paper studies the information disclosure of listed companies in the pharmaceutical industry,hoping to improve the quality of information disclosure of listed companies in China’s pharmaceutical industry,improve the information disclosure system and supervision system of China’s pharmaceutical industry,and make information disclosure more standardized,thereby enhancing China’s pharmaceutical industry.Competitiveness and promote the healthy development of the pharmaceutical industry.The case study method of this paper selects the representative Erkang Pharmaceutical in the pharmaceutical industry as the research object,analyzes the current problems in the information disclosure of the pharmaceutical industry,and discusses the countermeasures to solve the information disclosure problem,and compares the analysis method to compare the medical industry information.Disclose the differences with other industry information disclosures and discover the characteristics and defects of information disclosure in China’s pharmaceutical industry.This paper analyses the current situation and characteristics of pharmaceutical industry and information disclosure,and introduces the development process,internal structure and operation status of Erkang Pharmaceutical Company,It also analyses the existing problems of Erkang Pharmaceutical Information Disclosure in detail.Firstly,the production site does not meet the GMP standard and is not disclosed in time,which leads to the unsafe production of drugs.Secondly,the disclosure of R&D expenditure and the top five customers is incomplete,so investors can not fully understand the real business situation of Erkang Pharmaceutical;thirdly,using the project of producing pharmaceutical raw materials to disclose false information and increase profits;fourthly,concealing the relationship with drug distributors to increase revenue.Then this paper analysis the causes of Erkang Pharmaceutical information disclosure.The main reasons are as follows: Firstly,the lax supervision of the pharmaceutical industry leads to unsafe safety;secondly,the laws and regulations related to R&D information disclosure are not perfect,and the relevant provisions are not specific enough in the light of the characteristics of the pharmaceutical industry;thirdly,the weak risk awareness of auditing and relevant responsible persons leads to high risk;Fourthly,internal control deficiencies,driven by interests,lead to the disclosure of false information.Through the study of the case,it is found that there are many problems in the information disclosure of the pharmaceutical industry.Based on this,this paper proposes four targeted suggestions.: first,to strengthen the regulatory system of the pharmaceutical industry,to ensure drug safety,to establish a sound legal system for the supervision of the pharmaceutical industry,to encourage public supervision,to establish public regulatory channels,and to increase the cost of information disclosure violations;second,to improve the relevant laws and regulations of R&D information disclosure,in combination with the characteristics of the pharmaceutical industry;Make more specific laws and regulations;Thirdly,strengthen the risk awareness of audit and relevant responsible persons,and focus on risk information in the audit process;Fourthly,improve the internal control system.The innovation of this paper lies in: firstly,this paper makes a detailed study on the information disclosure of the pharmaceutical industry from the perspective of typical cases; secondly,the previous literature has not combined the characteristics of the pharmaceutical industry to study the information disclosure of the pharmaceutical industry.This paper,for the first time,combines the characteristics of the pharmaceutical industry to find out the current problems in the pharmaceutical industry,and puts forward the reasons and suggestions accordingly. |
