Abstract/Summary:
The rapid development of global economy has brought many Chinese enterprises opportunities for outward development.With the upgrading of industrial structure and the support of national policies,many Chinese enterprises carried out overseas mergers and acquisitions to extend the industrial chain overseas,seek to join the allocation of international resources,and strive to improve their international competitiveness.During the 11 th five-year plan period,many important projects helped the expansion of China’s security industry market scale,the rapid development of the whole security industry;According to the 12 th five-year plan,the annual growth rate of the security industry would continue to be high in the next few years,around 20%.The increasing market demand has become an important opportunity for the development of security enterprises.In 2011,taking advantage of the continued good development of international industrial adjustment and security industry,Infinova decided to start the acquisition of Marchnetwork in Canada.This merger and acquisition is a representative case of China’s security monitoring industry.This overseas merger and acquisition was of great significance for other Chinese enterprises to go abroad.This paper chooses the perspective of using the balanced scorecard to the Infinova merger cases to analyse and evaluate the performance,combined with the enterprise m&a motivation theory to adjust the four dimensions of the balanced scorecard as motivation dimension,and respectively on four motivation dimension design accord with the characteristics of the Infinova its own conditions and measures for the quantitative analysis of the coordination effect of mergers and acquisitions,comprehensive analysis and evaluate whether the acquisition to achieve synergies,whether to reach the initial goals.After analysis,at the beginning of the merger and acquisition of enterprise financial synergy and the management synergy effect was not obvious,but later,the extension to take effective measures to resource integration and development,make the enterprise’s profit performance,improve the efficiency of management;It can be seen from the analysis of operation coordination dimension and market advantage dimension that this merger and acquisition has improved the operation ability of enterprises and successfully developed overseas markets.On the whole,the acquisition is the right choice and promotes the strategic development of the enterprise.After the in-depth analysis of the merger case of Infinova,this paper puts forward Suggestions for enterprises planning to seek strategic transformation through merger and acquisition.After an in-depth analysis of the merger and acquisition case of Infinova,this paper puts forward Suggestions for enterprises planning to seek strategic transformation through merger and acquisition,and reflects on the limitations of this paper in the process of analysis at the end of this paper.
