Analysis On The Motivation And Financial Effect Of ZG Education Backdoor Listing

Backdoor listing is one of the methods of listing domestic companies.Through this method,corporate resources can be integrated,corporate allocation can be optimized,so as to promote the development of the company and achieve the purpose of listing.However,at the present stage,there are still some companies that fail to backdoor due to unclear ownership structure,complex internal structure and other reasons,or the poor management of operators leads to poor performance and continuous losses after listing,which makes the company unable to continue operating.Therefore,how to make the company successful backdoor,and can operate in the capital market for a long time,in order to achieve the profit target of the company after backdoor listing,become an important challenge for backdoor listing companies.This paper adopts the method of combining case analysis and theory to deeply analyze the successful backdoor of ZG education co.,ltd.from the perspectives of motivation,financing,operation and management,so as to provide reference value and significance for other backdoor listed companies.Firstly,this paper starts from the related literature on the motivation and performance of backdoor listing,and sorts out and summarizes the literature including merger and acquisition according to the time sequence.Secondly,it introduces the basic situation of both sides and the backdoor listing situation,and analyzes the backdoor listing motivation from two perspectives: internal motivation influenced by the enterprise itself and external motivation influenced by the environment.Third,based on the case analysis of financial indicators,the analysis of creditors and debtors is made from two aspects,including the analysis of shareholders’ wealth effect,the analysis of corporate financial synergies,the analysis of corporate diversification strategy and theanalysis of corporate operating performance.Finally,dupont analysis is used to summarize the company’s overall financial effect.Through the above analysis,draw the conclusion and enlightenment of ZG education backdoor listing,and provide reference value for the backdoor listing of other companies in the industry.
