How to reduce the agency cost has been widely concerned by the community,the so-called equity incentive,said the incentive to grant the corresponding options and stocks,so that the owners and incentive objects have a unified interest goal,to reduce the effectiveness of agency costs,to achieve team building and performance growth.One of the main means of equity incentive in China is restricted stock,which can effectively solve the principal-agent problem in corporate governance.At present,in China’s restrictive stock incentive development more and more rapidly,many companies are inclined to use restrictive stock incentive model,and how to effectively implement restrictive stock incentive is a problem that many companies are currently exploring.As a high-quality state-controlled listed company in China,Beacon Communication began to implement restrictive stock incentive policy in 2014,and was widely concerned by all sectors of society.The research of this paper can effectively improve the economic efficiency of enterprises,retain more core talents for enterprises,improve management efficiency of managers,realize the reasonable distribution of the interests of operators and owners,and finally ensure the long-term healthy development of enterprises.This article takes the beacon Communication as the case company,first unifies the enterprise to announce the stock right to encourage the internal and external environment,carries on the analysis and the inquiry to the reason which the beacon Communication chooses the restrictive stock incentive,after this carries on the research to the restrictive stock incentive related content,uses the relevant appraisal index to carry on the analysis to itsperformance after the equity incentive This paper points out the advantages and disadvantages of this scheme,and on this basis,puts forward the policy opinions on perfecting the restrictive stock Incentive plan of listed companies in our country,and concludes the conclusion of this thesis: The company should combine the actual company’s reality as the starting point in carrying out restrictive stock incentive process,and make the relevant indexes according to the company’s own development.And in the formulation of the corresponding evaluation indicators to carry out a comprehensive analysis,can not be limited to a single financial indicators for assessment,but also to ensure that the evaluation indicators of the full.
