As the wave of global mergers and acquisitions,our country enterprise joined it.In recent years,China's enterprises mergers and acquisitions in overseas continue to attracting global attention.According to statistics reported in 2016,China has become the largest country in overseas mergers and acquisitions.Without doubt,Overseas M&A has become an important way to realize scale expansion and diversification for China's private enterprises.But according to a 2016 overseas Chinese enterprise internationalization risk management BBS,pointed out that Chinese enterprises overseas M&A success rate less than 20%.So the study of enterprise overseas M&A risk has a very important practical significance.This article takes Wanda overseas mergers and acquisitions Odeon&UCI as a case to introduce the problems existing in the process of overseas mergers and acquisitions,and analyzes the risks encountered in overseas mergers and acquisitions by qualitative and quantitative methods.Finally,this paper puts forward countermeasures and suggestions to deal with the risks faced by Wanda overseas M&A.Through research found:(1)overseas mergers and acquisitions is a complex project,even if the skilled Wanda is also difficult to get rid of the risk of mergers and acquisitions failure,therefore,overseas mergers and acquisitions should be highly cautious;(2)in the risk of many overseas mergers and acquisitions,Wanda is mainly faced with the risk of integration within the enterprise,and the integration of all aspects of the company involved,so Wanda still can not be taken lightly after the merger;(3)Wanda is not only good at the use of the strength of intermediaries,but also highly respect the target enterprises,giving them the maximum right to operate autonomously,which is worthy of recognition.
