A Research About Financial Risks And Control Of Mergers And Acquisitions Of Enterprises

Mergers and acquisitions of enterprises are complicated capital activities.There are so many uncertainties and risks in the process and effective risk control is the key factor to achieve success.Moreover,financial activity is an important part of mergers and acquisitions,which means the control of related financial risks is the major part of risks management and it affects the success of M&A.This thesis analyses the types and causes of financial risks in mergers and acquisitions and propose a way of managing the financial risks,based on the theories of M&A,financial risk theory,enterprise value evaluation theory,financing theory,M&A payment theory and capital structure theory combining moderm risks management theory and new academic viewpoints.On this basis,this paper studies the general situation,industry characteristics,development status and characteristics of mergers and acquisitions of pharmaceutical commercial enterprises in recent years,and puts forward the "7+" control model offinancial risk of mergers and acquisitions of pharmaceutical commercial enter:prises in China,that is seven main control strategies and how to establish a dynamic financial risk control system of mergers and acquisitions.By doing the case study of integrating theory with practice,the thesis introduces the application of M&A financial risk management and control model,which provides an application framework for M&A financial risk management in pharmaceutical circulation industry.
