Equity incentives are mainly used to motivate corporate directors,senior executives,and key employees.They are an incentive mechanism for talents that can stimulate long-term development and enhance corporate performance.Because high-tech enterprises have relatively high requirements for technology,innovation,knowledge,etc.,the proportion of scientific researchers occupies a very large proportion.These same people also feel that the company's development is the most important factor.Therefore,it must be necessary for high-tech enterprises.Can attract these talents to come to their own enterprises to create wealth,but also to stay them,so as to improve performance and improve business.Therefore,high-tech companies must implement strategies to motivate stable executives and key players.This requires changing the original strategies and remuneration models,and improving the incentive system as a focus of work.In this case,the equity incentive model has emerged.At present,the equity incentive of high-tech enterprises in China is a normal trend,and the coverage of incentive objects is gradually expanding.Under the background of equity incentive policies and human capital requirements,the equity incentive system is currently highly favored by high-tech enterprises and has been promoted and developed.Based on the related theory of equity incentives,this paper combines the current institutional background of China and the characteristics of high-tech industries,and studies the two-stage equity incentive plans of Dahua and Farsoft Software in the form of comparative case analysis.Comparison of exercise conditions,comparison of exercise rights and exercise period,and comparison of incentive effects through financial index method and event research method,and then study the influencing factors affecting the equity incentive performance of high-tech enterprises.The purpose is to study the performance of equity incentives.Explore the impact of different factors on equity incentive performance.There are many factors that affect the performance of equity incentives,including macro-level capital markets,managerial markets and legal and policy environment,micro-level industry competition,corporate governance structure,and company characteristics.This article mainly analyzes the impact of the setup of equity incentive plan on incentive performance,including the selection of equity incentives,the size ofincentive targets,the setting of award conditions and prices,and the development prospects of the industry.From these perspectives,the differences in the plan for equity incentives are analyzed.Impact,and then come to relevant conclusions and put forward relevant policy recommendations for high-tech enterprises to improve the equity incentive plan.
