Unlike ordinary profitable manufacturing industries,companies in the pharmaceutical industry will not only threaten the interests of corporate capital owners,but will also seriously endanger the health of the general public.However,it is the industry that shoulders strong social responsibilities.Due to the asymmetric information of end customers and suppliers,and the special nature of transactions that are not fully market-oriented,the industry is chaotic.In 2005-2006,Qi Eryao The counterfeit drug incident claimed the lives of more than a dozen patients.In 2015,two pharmaceutical companies in Sichuan Province were notified by the provincial health bureau because of commercial bribery.Such phenomena have greatly affected the confidence of our people in the domestic medical industry.Looking to the world,some internationally renowned large-scale pharmaceutical companies,such as Pfizer,Johnson&Johnson,and GlaxoSmithKline,have also been exposed in recent years in the issue of illegal marketing.Among them,GlaxoSmithKline has received up to 30 billion yuan punishment due to bribery cases of its subsidiaries in China.The outbreak of these events caused people to sigh in pain for the victims and irritated the companies involved.At the same time,they had to think about the underlying causes of the incident,including the lack of supervision over the rule of law outside the enterprise and the lack of internal management.Since the 21st century,along with the diversification of corporate organizational forms and the complexity of organizational stakeholders,the failures of corporate management have occurred from time to time,competing with the continuous development of internal control theory and practice.Since the new edition of"Integrated Framework of Internal Control" had been published by COSO Committee in 2013,the internal control framework has risen to a relatively perfect level.Different countries have also established internal control regulations or guidelines in accordance with this framework,in order to guide the normal operation of enterprises and coordinate conflicts of interest between investors and operators,thereby safeguarding the order of the capital market.However,when the theory of internal control is considered tend to be perfect,the failure of enterprise management still occurs constantly,indicating that there are still many problems in the application process of internal control from theory to practice.In Chinese pharmaceutical industry,many companies have also established internal control systems in accordance with internal control guidelines.However,the industry is still in a chaotic situation.Counterfeit drug incidents,commercial bribery,and high drug prices are not only a serious threat to the lives of our citizens.It also makes the Chinese people highly untrusted in the medical industry.These phenomena all indicate that the pharmaceutical companies in China need to be strengthened both externally and internally.In the peculiarities and policies of pharmaceutical companies,the internal control of pharmaceutical companies should not only be designed to meet external regulatory requirements,but should be actively and constructively supported by the overall value of the company and the realization of strategic objectives.The value-added internal control system of the enterprise requires the introduction of a comprehensive risk management perspective in the construction of internal control.In the whole business process of pharmaceutical companies,the sales process has become a particularly high risk due to the particularity of its transaction process and objects.Therefore,the paper constructs the internal control of the sales process of pharmaceutical companies from the perspective of comprehensive risk management.After extensive literature study and induction,this paper believes that in today’s ever-changing external environment,Chinese pharmaceutical companies want to circumvent a series of operational risks,reporting risks and compliance risks that the industry has high,and ensure the long-term development of the organization.The concept of comprehensive risk management should be established,and on this basis,an internal control system that can truly deal with risks should be established,and the combination of comprehensive risk management and internal control will help the internal control function better and thus serve the realization of corporate value.This article first sorts out the theoretical exploration of comprehensive risk management and internal control at home and abroad,then analyzes the risk characteristics of pharmaceutical companies in the current context,and finally uses Y Pharmaceuticals as a case company to conduct field sales After the investigation and interview,combined with the risk analysis of the industry and the status quo of the enterprise and the existing internal control of the enterprise,some problems in the internal control of the sales department of the Y company based on the perspective of comprehensive risk management were proposed.On this basis,it also proposes construction ideas and construction plans for the Y company to build an internal control system based on a comprehensive risk management perspective.The problem analysis and construction suggestions in this paper have universal applicability in China’s current pharmaceutical industry,which can not only improve the quality of Y pharmaceutical company’s sales management,but also provide reference for the internal management of China’s pharmaceutical industry.From a practical point of view,while related theories of internal control are gradually perfecting,there are still phenomena of distortion of financial information,loss of control over economic losses,and violation of laws and regulations by enterprises.This shows that there are still many problems in the implementation of internal control from theory to practice.In fact,for internal control,whether it can really play a role and execution is the key.From the perspective of specific cases,this article integrates the concept of comprehensive risk management and conducts a systemic discussion on the internal control of the sales cycle of Y Pharmaceutical Company from the top-level design to the specific implementation.On the one hand,it puts forward some suggestions on the management and control issues of Y Company itself.These analysis and assumptions in the same industry also have a certain degree of universality,and can provide certain reference for the sales management and control practices of the same type of enterprises.From a theoretical point of view,according to the principles of Marxist philosophy,practice is the ultimate goal of the theory and the fundamental driving force for the development of the theory.Currently,for internal control and risk management,the international generally converges with the framework issued by the US COSO Committee,but the national conditions of each country are different,and the market environment and political environment are also different.The specific application of such frameworks in different environments and What needs to be adjusted remains to be further explored.This article starts from the theory and explores the application of comprehensive risk management theory in the construction of internal control in light of specific cases.It hopes to enrich the discussion of related topics in the country through such inquiries and provide inspiration for follow-up scholars to extract,summarize,and verify relevant theories from practical experience.And reference.
