Huaishan Tang company is a typical agricultural products processing enterprise in Jiaozuo region of Henan province.The company was founded in April 2010 and underwent joint-stock reform in October 2010.In 2016,Huaishan Tang company was successfully listed in National Equities Exchange and Quotations.However,although Huaishan Tang company has established a modern corporate governance system,its board of directors and board of supervisors have insufficient independence,and the compensation incentive of the management is relatively undiversified.These problems seriously restrict the development of Huaishan Tang company in the capital market.Therefore,how to design and optimize the governance structure of Huaishan Tang company and provide it with an effective governance strategy is an urgent problem for the company to solve.On the basis of collecting and sorting out a large number of literatures and referring to the successful experience of corporate governance at home and abroad,this paper systematically studied the governance strategy of Huaishan Tang company.Firstly,through the analysis of the establishment background,development history and governance status of Huaishan Tang company,the problems existing in the governance of board of directors,board of supervisors,management selection,incentive and constraint of Huaishan Tang company are revealed.Secondly,through setting up the principle of governance optimization of the board of directors and the board of supervisors,this paper puts forward the governance optimization scheme of the board of directors and the board of supervisors.Finally,by establishing the management selection system and management incentive scheme of Huaishan Tang company and improving the management restraint mechanism,it further provides the management selection,incentive and restriction optimization scheme for Huaishan Tang company.Through the optimization of the board of directors,the board of supervisors and the management,the corporate governance of Huaishan Tang company will take a new step,which is conducive to the better development of Huaishan Tang company in the future and the embodiment of its value in the capital market.The main features and innovations of this paper are as follows:(1)Through the analysis of the status quo of the corporate governance of Huaishan Tang company,the problems existing in the governance of the board of directors and the board of supervisors,the selection and appointment of the management,the incentive and the restraint of the company are revealed;(2)According to Huaishan Tang company development present situation,proposed the Huaishan Tang company board of directors and the board of supervisors governance optimization strategy;(3)Based on the theory of management personnel recruitment and performance appraisal system,the management selection system,management incentive scheme and management restraint mechanism of Huaishan Tang company are proposed.This study not only provides a set of operational governance strategies for Huaishan Tang company,but also provides case basis for other public corporate governance improvements,which is conducive to the improvement of overall governance level of multi-level capital market.
