Z engineering equipment group is a subsidiary enterprise of a central enterprise which has been established for more than 10 years.Relying on national policy and good market support,Z Engineering Equipment Group has rapidly developed from a single enterprise to a large enterprise group,and its scale,efficiency and brand influence have been rapidly improved.But at the same time,leapfrogging development is accompanied by a variety of problems,especially group governance problems are becoming increasingly prominent,such as imperfect board governance mechanism,imperfect incentive and restraint mechanism of senior management,improper management and control of subsidiaries by the group,so as to make the group decision-making efficiency,overall management order and operation.Row quality is affected.Therefore,how to analyze and sort out the governance problems of Z Engineering Equipment Group and formulate the internal governance and control strategy is the key to the rapid and high-quality development of enterprises.On the basis of collecting and sorting out a large number of documents and reference to successful practices of group governance at home and abroad,this paper systematically studies the internal governance and control strategy of Z Engineering Equipment Group.Firstly,through the analysis of engineering equipment industry and the status quo and governance of Z Engineering Equipment Group,the problems faced by internal governance and control of Z Engineering Equipment Group are revealed.Secondly,on the basis of the problems raised,the internal governance optimization strategy of Z Engineering Equipment Group is provided from three aspects: the optimization of board governance,the optimization of supervisory board functions,and the incentive and restraint mechanism of senior management.Finally,by standardizing the group's control over subsidiaries,planning the group's development strategy and optimizing the group's internal operation control strategy,the internal control strategy of Z Engineering Equipment Group is provided.Thus,it provides a comprehensive group governance scheme for Z Engineering Equipment Group,and provides a basis for solving many challenges and challenges faced by the Group.The main characteristics of this paper are as follows:(1)Based on the analysis of the current situation and governance situation of Z Engineering Equipment Group,the problems of internal governance and control of Z Engineering Equipment Group are revealed;and(2)the Z Engineering Equipment Group is proposed from three aspects: board governance strategy,function optimization of supervisory board,incentive and restraint mechanism of senior management.Internal governance optimization strategy;(3)On the basis of standardizing the group's management and control of subsidiaries,planning the group's development strategy and optimizing the group's internal operation management and control strategy,the internal management and control strategy of Z Engineering Equipment Group is put forward.This study not only provides a set of operable internal governance and control strategies for Z Engineering Equipment Group,but also provides theoretical basis and analysis approach for group governance of other large state-owned enterprises.
