Among the enterprise's fierce competition,Chinese enterprises have stirred up the mergers and acquisitions boom,which has an extremely important effect on building the important market share?acquiring the profit ability quickly?being the big scale and strong?improving the core of competition strength by way of the mergers and acquisitions;but while occurring dangers.it seems to the war of not gunpowder that happen to them---No matter M&A either domestically enterprises or overseas enterprises,it is only the beginning of the whole shoot to choose the suited object enterprises merged and sign the benefits agreement.Establishment of the strategically project?integration of organization structure?integration of control system?integration of human resource?integration of product and business?management of integration after the M&A,and communication and harmony to the outside and inside of enterprise,which have impact on the M&A's success or failure,however corporate culture integration turns out to be crucial.This paper uses various analysis method such as case study method,looks back and analyses the interrelated literatures to verify the dynamic selection mode proposed in the literature.Then we quote a multistage culture integration model,with X,Y axis representing the willingness of absorbing each others' corporate culture,Z axis showing the stage of culture integration.On the basis of that is a center with XMAN,selecting the XMAN acquisition of Beijing B success and XMAN acquisition of Hunan D failure of positive and negative cases.From the comparative analysis and according to discuss the case of cultural integration of dynamic model in mergers and acquisitions,and then undertaking an analysis and putting forward some suggestions and measures of cultural integration on the XMAN of the current situation,finally using the theoretical model as XMAN SHCL&M's cultural integration model put forward specific recommendations guiding strategy,hoping that can lead XMAN integration to explore the most suitable mode of cultural integration.
