The Research Of The Relationship Between Top Management Background Characteristics And Corporate Irregularities Of Internet Industry Listed Companies

With the continuous development of the securities market,with the development of the Internet,has made investors know more and more about the companies in China's securities market.Many investors use the information disclosed by listed companies as reference.Based on this,to attract investors,many listed companies make a lot of violations in the context of information disclosure,and the types of violations involved are divers.Therefore,how to avoid the illegal behavior of listed companies has become a topic of discussion in academia and market circles.In recent years,the Internet industry in China has played a more and more important role in the economic development of our country,at the same time,it also brings new development opportunities and challenges to our country.With the development of the concept of "Internet"and the integration of various traditional industries,the number of listed companies in the Internet industry is also increasing.However,the illegal phenomenon of listed companies in the Internet industry also occurs frequently,and the negative impact is not to be underestimated.As a new hot industry in China,the Internet industry,the irregularities of the listed companies are highly concerned by the majority of investors,the occurrence of violations will not only damage the interests of large and small shareholders and investors,but also damage the reputation of the company and even bring more serious consequences.As decision makers of corporate behavior and decision makers of major corporate planning,the top management team of listed companies plays a crucial role in the disclosure of corporate information.At present,most of the research literature on illegal behavior of listed companies in China is carried out from the angle of company shareholding and so on,only a few studies are conducted around top management background features,and the research specifically aimed at listed companies in the Internet industry that is very popular at present is even rarer.But many scholars have shown that the background features of top management are important sources of management behavior,top management with different backgrounds tend to have different trends when making decisions,the relationship between top management background characteristics and corporate irregularities is worth discussing.Therefore,this dissertation takes the top management background characteristics of listed companies in the Internet industry as the research object,explore its impact on corporate irregularities,using the method of empirical research,choosing from 2007 to 2016,a total of 81 listed companies in the Internet industry,at the same time,81 listed companies in the same industry were selected as the control group,make a study of 162 companies.The gender,age,professional background,political background and financial background of the top management team are considered as the background characteristics of the top management,Logistic linear regression analysis is used to analyze the influence of the background characteristics of Internet top management on the listed companies'illegal behavior.The results show that the number of female top management,the age of top management team,the type of professional background,the type of political background and the type of financial background are negatively correlated with the illegal behavior of listed companies in the Internet industry.According to the empirical conclusions,this dissertation puts forward some relevant suggestions from several angles,such as circumvention of illegal behavior of listed companies in the Internet industry and selection of top management team.In order to make the disclosure of information of listed companies in the Internet industry more fair,open and fair,it will bring some reference value to the selection of top management team of listed companies in the Internet industry,and promote the improvement of the information disclosure system in the securities market,to promote the development of other industries and even the market economy as a whole.
