With the coming of economic globalization,Chinese enterprises face the competition of domestic and international market.If the enterprises want to become bigger and stronger,they must take the implementation of the "going out" strategy,especially in today's world economic downturn,there won't be a better opportunity of overseas enterprises mergers and acquisitions.Through the help of overseas mergers and acquisitions,Our enterprises can introduce foreign advanced technology and experience of management,accelerate the expansion of foreign markets,and promote the transformation and upgrading of enterprises.But there are more often fails in mergers and acquisitions,and company suffered heavy losses.According to the surveys,failure cases even close to 70%.Overseas mergers and acquisitions is not always a "panacea" of the enterprise,often hidden a huge risk.How to go out,is a serious and worth pondering problem.The internationalization strategy of ChemChina has been implemented for many years,and many overseas famous companies have been successfully acquired.Its rich experience in overseas mergers and acquisitions is worth exploring and studying.This paper uses the method of combining theory and case to study the risk and control measures of overseas merger and acquisition.First,on the basis of the related domestic and foreign documents and theories of mergers and acquisitions,this paper introduces and summarizes the common risks of overseas mergers and acquisitions in Chinese enterprises.Then select the case of ChemChina and Syngenta,in-depth analysis of the case background,course of mergers and acquisitions and motivation.Finally,the detailed analysis of the specific risk control measures in ChemChina is carried out,and some suggestions and inspiration for the risk prevention and control of Chinese enterprises' overseas mergers and acquisitions are given.
