March 1,2014,implementation of the new "Company Law" changes the company's registered capital to subscribed from paid-up,reducing the threshold to set up company to a large extend,and giving position effect on the company's finance and idle funds.This reform will help revitalize the economy and improve the entrepreneur's enthusiasm.But it is undeniable,due to the existing legal norms for the protection of creditor of the company are insufficient clear,the reform of registered capital system brings opportunities to entrepreneur,but also inevitably causes new problems or highlights existing problems and risks.Under the subscribed system how to protect the interests of creditors,which is not only related the success of social credit system,but also brought the new challenges to the economic order of stability and security.The insufficiency of legal norms for the protection of the interest of creditors under subscribed system is not only conducive to the healthy development of the market,but also directly affect the effectiveness of the reform of the registered capital system.The insufficiency of legal norms for the protection of the interest of creditors will be the mosturgent problem after the registered capital system reform.In theoretic and practical field,there are different points of view and proposals to protect the interest of creditor under subscribed system.For example,shareholder capital contribution obligation acceleration due,shareholder abusing subscribed system denied,and shareholder subscribed capital guarantee.Based on the existing legal norms,this thesis tries to analysis and discuss the protection of creditors of the company under subscribed system from varied perspective.
